TRADE LAW
Parliament has decided on this law of the Czech Republic:
GENERAL PROVISIONS
BASIC PROVISIONS
Preliminary provisions
Scope
(1) This law regulates the status of entrepreneurs, commercial obligations and certain other business relations.
(2) The legal relationships referred to in paragraph 1 are governed by the provisions of this Law. If certain issues cannot be addressed under these provisions, they are dealt with under civil law. If they cannot be dealt with in accordance with these rules, they shall be assessed according to commercial practice and, if not, according to the principles on which this law is based.
Business
(1) Entrepreneurship means a continuous activity carried out separately by an entrepreneur in his own name and under his own responsibility for profit.
(2) The entrepreneur under this law is:
(a) a person registered in a commercial register;
(b) a person who does business on the basis of a trade licence;
(c) a person who carries out an activity under a non-trade permit under special rules;
(d) a natural person who operates an agricultural production and is registered in accordance with a specific regulation.
(3) The registered office of a legal person and the place of business of a natural person is the address registered as its registered office or place of business in a commercial register or other legally regulated register. The address means the name of the municipality (part of the municipality), the postal code, the descriptive number, or the street or square name. The entrepreneur shall be obliged to register his head office or place of business. The seat of the organisational body of the undertaking (Section 7) shall be understood as the address of its location. The registered office of a legal person may be in an apartment only if the nature of the business is so permitted. The actual registered office shall be the address of the place from which the legal person is managed by his statutory authority.
(1) The following shall be entered in the Commercial Register:
(a) commercial companies, cooperatives and other legal persons covered by the law;
(b) foreign persons under Paragraph 21 (4).
(2) A natural person with a permanent residence (hereinafter referred to as "residence") in the territory of the Czech Republic who is an entrepreneur within the meaning of this Act (§ 2 (2) (b) to (d))) shall be registered in the Commercial Register at his own request.
(3) A natural person who is an entrepreneur within the meaning of this Act (§ 2 (2) (b) to (d)) shall also be entered in the Commercial Register if:
(a) the amount of its net turnover determined under the special legislation has reached or exceeded, in the last two financial years, the amount which gives rise to the obligation to verify the accounts by the auditor;
(b) operate the business in an industrial way; or
(c) so provides for specific legislation.
(4) A natural person registered in accordance with paragraph 3 shall be required to submit an application for registration in the Commercial Register without undue delay after that obligation has arisen.
Unlawful business
(1) The nature or validity of a legal act is without prejudice to the fact that a person is prohibited from doing business or is not authorised to do business; This is without prejudice to § 49a of the Civil Code.
(2) A person who carries out an activity for which notification or authorisation is required under specific legislation, without such notification or authorisation, and persons who carry out such an activity on behalf of or on behalf of another person are liable for the damage caused by it; This shall be without prejudice to their liability under specific legislation.
The provisions of this Act shall also apply to the relationships of persons other than entrepreneurs, if provided for by that law or by a special law.
Company and commercial assets
(1) For the purposes of this Act, a company shall mean a set of tangible, personal and intangible business components. The undertaking is subject to matters, rights and other assets which belong to the entrepreneur and serve to operate the undertaking or are intended to serve this purpose because of their nature.
(2) The company is a mass matter. The provisions on matters in the legal sense shall apply to its legal circumstances. This is without prejudice to the scope of specific legislation relating to immovable property, industrial and other intellectual property items, motor vehicles, etc., if they are part of an undertaking.
(1) For the purposes of this Act, the commercial property of an entrepreneur who is a natural person shall mean property (goods, debts and other rights and money-worthy other values) which belongs to and serves or is intended for the business of an entrepreneur. The commercial property of an entrepreneur who is a legal person shall mean all of his assets.
(2) For the purposes of this Act, a set of commercial assets and liabilities incurred by an entrepreneur who is a natural person in connection with an enterprise shall be referred to as a commercial asset (hereinafter referred to as "assets'). The name of an entrepreneur who is a legal person is a set of all his assets and liabilities.
(3) The net commercial property shall be commercial property after deduction of liabilities incurred by the entrepreneur in connection with the business, whether it is a natural person or any liability, if it is a legal person.
(4) The equity shall consist of the own resources of the commercial assets of the entrepreneur and shall be shown on the liability side in the balance sheet.
Organisational component of the enterprise
(1) A fissile plant is an organisational component of an enterprise that is registered as a fissile plant. When operating a fissile plant, a business company (§ 8) is used by an entrepreneur with the addition that it is a fissile plant.
(2) A similar position as a fissile plant is also held by another organisational component of an undertaking if the law provides that it is registered in a commercial register.
(3) An establishment means an area in which a certain business activity is carried out. The establishment shall be designated by the business firm to which the name of the establishment or other distinguishing mark may be attached.
Company
(1) A commercial firm (hereinafter referred to as "the firm") is the name under which the entrepreneur is registered. The entrepreneur is obliged to take legal action under his company.
(2) Entrepreneurs not registered in the Commercial Register shall not be subject to company provisions; legal acts shall be required to be carried out by a natural person, under his name and surname, and by a legal person, under his name.
(1) The company of a natural person must always be its name and surname (hereinafter referred to as "the name"). A natural person's company may include an addendum to a distinguished person of an entrepreneur or type of business normally relating to that person or type of business.
(2) The name under which they are registered is the company of the company or of the cooperative and other legal entities that arise from registration in the Commercial Register. The company of a legal entity which is incorporated in a commercial register on the basis of a specific legal act and which arose before that registration is its name. Part of the company of legal persons is also an amendment indicating their legal form.
(1) The company must not be interchangeable with another entrepreneur and must not be misleading. A different legal amendment is not sufficient to distinguish the company. In the case of a natural person, it is generally sufficient to distinguish the indication of another place of business. Where a natural person has the same name with another entrepreneur operating in the same place, he shall be obliged to add to the company an indication of the name by a sufficiently distinct amendment within the meaning of Paragraph 9 (1).
(2) Where more than one person is engaged under a common name without the establishment of a legal person, those persons shall be obliged to fulfil the obligations arising from such business jointly and severally. A common name is not a company.
(1) Any person who inherits an undertaking or acquires it by contract may enter into a business under the current company with a successor supplement only if he has the express consent of the deceased or heirs or the legal predecessor.
(2) If the entrepreneur is a natural person who has changed his or her name, he or she may also use his or her previous name with an addition containing a new name.
(3) The company of the legal person is transferred to the successor legal person with the undertaking if the original legal person dies without liquidation and the successor legal person takes over the business. If the successor legal person has a different legal form, the Appendix shall be amended in accordance with its legal form.
(4) The transfer of the company without the simultaneous transfer of the company is inadmissible. The transfer of the company is also possible when a part of the company is transferred, if the business operator operates the remaining part under another company or the part ceases to be liquidated.
(5) Where a company of a legal person has the name of a partner or member who has ceased to be a partner or member, the legal person may continue to use its name only with its consent. In the event of the death or death of a member, his prior consent or the consent of the heir or successor shall be required.
(6) Businesses whose undertakings belong to the same group (Section 66a (7)) may contain the same elements if they contain an amendment to the group's membership and if they are sufficiently distinct from each other.
(1) Those who have been affected by their rights by the unauthorized use of the company may request against the unauthorised user to refrain from doing so and to remove the malfunctioning. It may also require the issue of unjustified enrichment and reasonable satisfaction, which may also be provided in money.
(2) If damage has been caused by unauthorized use of the company, compensation may be claimed under this law.
(3) The Court of First Instance may grant the party whose application has been granted the right in the judgment to publish the judgment at the expense of the unsuccessful party and, where appropriate, to determine the scope, form and manner of publication.
Business conduct
(1) Where the entrepreneur is a natural person, he shall act in person or on behalf of a representative. The legal person shall act as a statutory body or as a representative.
(2) The provisions of this Act on individual companies and cooperatives are defined by the statutory body whose conduct is the conduct of an entrepreneur.
(3) The head of the organisational body of the undertaking (§ 7 (1) and (2)), which is registered in the Commercial Register, is empowered to act as an entrepreneur in all legal acts relating to that branch.
(4) Where an entrepreneur is a legal person, he shall be bound against third parties by an act carried out by his statutory authority or by a liquidator, even if he has exceeded the scope of his business, unless it is an act which goes beyond the powers conferred on him or allows him to entrust the law.
(5) The limitation of the legal authorisation of the statutory body of a legal person resulting from the statutes, a social contract or any other similar document, or from the decisions of the legal entity's bodies, may not be applied to third parties, even if published.
Commercial instruments
(1) Each entrepreneur shall be required to indicate on all orders, business letters and invoices an indication of his company, name or name, seat or place of business and identification number; persons registered in a commercial register or other register shall also indicate the registration, including the file mark. An indication of the amount of the capital may be given in those instruments only if it has been fully repaid.
(2) In all orders, business letters and invoices relating to the organisational component of an undertaking or an undertaking of a foreign person, a foreign person shall be required to provide the particulars referred to in paragraph 1 and also an indication of the registration of that branch of an undertaking or undertaking in the commercial register, including a file tag.
(3) Orders, business letters and invoices relating to the organisational component of an undertaking or an undertaking of a foreign person whose registered office or residence is in a State which is not a member of the European Union need not include an indication of the registration of a foreign person if the law governing that person does not impose registration.
Prokura
(1) The procuring entity empowers the procurer to do all legal acts that take place in the operation of the undertaking, even if they are otherwise required by special powers of attorney. Prokuru may only be granted to a natural person.
(2) For chicken, the authorisation to dispose of and load the property shall not be included, unless specifically stated in the granting of the Procura.
(3) The limitation of the procure by internal guidance does not have legal consequences against third parties.
(4) More than one person may be awarded the Prokuru in such a way that each person is entitled to represent and sign himself or by the consent of all or at least two of them.
(5) The procurer signs in such a way that he adds an amendment indicating the procurer and his signature to the firm of the entrepreneur he acts as.
(6) The award of a procure shall be effective from the entry in the Commercial Register. If more than one person has been awarded the Procura, the proposal shall also include a determination as to whether each procurer can act separately or how many procurer must act together.
(1) Who has been entrusted with an activity in the operation of an undertaking shall be empowered to do all the tasks normally carried out in that activity.
(2) Where a representative of an entrepreneur exceeding the mandate referred to in paragraph 1 is bound by such conduct, the entrepreneur shall only be bound by such action if the third party was not aware of the overrun and, taking into account all the circumstances of the case, could not know.
The entrepreneur also obliges the conduct of another person in his establishment, if the third person could not know that the person concerned was not entitled to do so.
Business secrets
The object of the rights belonging to the undertaking shall also be commercial secrecy. Business secrets shall consist of all elements of a commercial, manufacturing or technical nature related to an undertaking which have actual or at least potential material or non-material value, are not normally available in the relevant business circles, are to be kept secret by the entrepreneur and the entrepreneur ensures their secrecy accordingly.
An entrepreneur operating an undertaking covered by a trade secret shall have the exclusive right to dispose of such a secret, in particular to grant permission to use it and to determine the conditions for such use.
The right to commercial secrecy shall continue if the facts set out in Section 17 persist.
The right to business secrecy is subject to legal protection as in unfair competition.
ENTERPRISE OF FOREIGN PERSONS
Basic provisions
(1) Foreign persons may do business in the territory of the Czech Republic under the same conditions and to the same extent as Czech persons, unless there is something else by law.
(2) For the purposes of this Act, a foreign person is a natural person residing or a legal person having its registered office outside the Czech Republic. A Czech legal person for the purposes of this Act means a legal person established in the Czech Republic.
(3) The business of a foreign person in the territory of the Czech Republic shall be understood for the purposes of this Act as having the business of that person, if the undertaking or its organisational component located in the territory of the Czech Republic.
(4) The right of a foreign person to do business within the territory of the Czech Republic shall arise on the date of registration of that person or, where appropriate, the organisational part of his business, within the scope of the subject matter of the business entered in the commercial register. The application for registration shall be filed by a foreign person.
(5) Paragraph 4 shall not apply to natural persons residing in one of the Member States of the European Union or in another State forming the European Economic Area, who are active in the territory of the Czech Republic.
The legal capacity which a non-natural foreign person has under the legal order under which it was founded also has in the Czech legal order. The law under which that person was established shall also govern its internal legal circumstances and the liability of members or members for their obligations.
Foreign persons who have the right to do business abroad shall be regarded as entrepreneurs under this Act.
Property participation of foreign persons in Czech legal persons
(1) A foreign person may, in accordance with the provisions of this Act, participate in the establishment of a Czech legal person or participate as a partner or member in a Czech legal person already established. It can also establish a Czech legal person itself or become a single member of a Czech legal person, provided that this law allows a single founder or sole partner.
(2) A legal person can only be established under Czech law.
(3) In matters referred to in paragraph 1, foreign persons shall have the same rights and obligations as Czech persons.
Protection of the property interests of foreign persons in business in the Czech Republic
(1) The property of a foreign person related to a business in the Czech Republic and the property of a legal person with a foreign shareholding in accordance with § 24 (1) may be expropriated or owned by law and in the public interest only, which cannot be satisfied otherwise. An appeal against such a decision may be brought before a court.
(2) For the measures referred to in paragraph 1, compensation shall be granted without delay corresponding to the full value of the assets concerned by those measures at the time when they were carried out, which is freely transferable to abroad in foreign currency.
(3) The international treaties by which the Czech Republic is bound and which have been published in the Collection of Laws or in the Collection of International Treaties are not affected.
Replacement of the registered office
(1) A legal person established under the law of a foreign State for the purpose of business which has its registered office abroad may transfer its registered office to the territory of the Czech Republic if the international treaty is binding on the Czech Republic and has been published in the Collection of Laws or in the Collection of International Treaties. This also applies to the transfer of the seat of the Czech legal person abroad.
(2) The transfer of the registered office referred to in paragraph 1 shall be effective from the date of its registration in the Commercial Register.
(3) The internal legal situation of the legal person referred to in paragraph 1 shall be governed by the law of the State under which it was established, even after the transfer of its registered office to the country. This legal order shall also govern the liability of its members or members to third parties, which may not, however, be less than the Czech law provides for the same or similar form of legal person.
TRADE REGISTER
(1) The trade register shall be a public list in which the legal particulars relating to the entrepreneurs or the organisational components of their undertakings, as provided for by the law, are entered. The trade register shall be kept by a court designated for that purpose by a special law (hereinafter referred to as "the register court ').
(2) A person who acts in confidence in a trade register may not object to registration unless the law provides otherwise.
(3) The particulars and content of the documents the publication of which the law imposes may be objected to by the person to whom the registration relates only from the date of their publication, unless it proves that they have been known to the third party. However, this information and the content of the documents may not be objected to by third parties until the sixteenth day following publication, provided that third parties prove that they were not aware of them. The facts entered in the Commercial Register shall be effective against each of them from the date of their publication; However, they shall be effective as from the date of such registration.
(4) Where there is a discrepancy between the data entered and published or the documents deposited and published, the published text may not be objected to third parties; third parties may, however, rely on the published version unless the registered person demonstrates that they have been aware of the information entered in the commercial register or the content of the documents deposited there.
(5) Third parties may always rely on the content of documents and data in respect of which the obligation to register and publish has not yet been fulfilled, provided that this lack of effectiveness or validity does not deter them.
(6) From the entry of persons who are entitled to commit a legal person as its institutions or members of the institutions to a commercial register, no one may rely on an infringement of legislation, social contract or statutes against third parties in the selection or appointment of the authorities or their members, unless it is established that the third party knew of the infringement. This is without prejudice to the provisions of Sections 131, 183 and 242.
(7) Where a registered court rejects an application for authorisation to register a person who is entitled to commit a legal person as its institution or as a member of an institution to a commercial register, its choice or appointment shall be considered null and void. This shall be without prejudice to the rights of third parties acquired in good faith. The negative decision shall be published by the Registry after the acquisition of legal power. Until such publication, a legal person may not object to the nullity of an election or appointment vis-à-vis third parties unless he has demonstrated that he or she knew of the nullity.
(1) The trade register is accessible to everyone. Everyone has the right to look into it, to make copies and extracts. Upon request, the registry court shall issue an officially certified complete or partial copy of the minutes or documents deposited in the collection of documents, extract or certificate of a particular registration or certificate of non-registration. The official verification shall confirm the conformity of the copy or extract with the entry in the Commercial Register or with the instrument in the instrument collection.
(2) The business register includes a collection of documents containing:
(a) a social contract or a founding act or a founding contract of a company, a copy of the notarial record containing a resolution setting up the general meetings of a public limited company or setting up meetings of a cooperative, the statutes of a public limited company, a cooperative or a limited liability company, if they are to be issued under the social agreement, and the instruments of incorporation of a public undertaking (hereinafter referred to as the "founding documents") and their subsequent amendments; a valid full text must also be deposited after each amendment of the founding document or statutes,
(b) a decision on the choice or appointment, revocation or evidence of any other termination of office of persons who are a statutory authority or a member thereof, a liquidator, an insolvency administrator, a equalisation trustee, a forced administrator or an organisational director (§ 13 (3)) or who, as a statutory body or its members, are entitled to commit or represent the company in court or thus participate in the proceedings or control of the company;
(c) the annual reports, sound, extraordinary and consolidated financial statements, if they are not part of the annual report and, where an obligation to verify the accounts is imposed, the auditor's report on it, the interim financial statements, where the law requires their establishment; on a list containing balance sheet (balance sheet), the identification details of the persons verifying it by law,
(d) the decision to abolish a legal person, the decision to abolish the decision to abolish a legal person and the decision to abolish a conversion decision, the decision to nullify a company (§ 68a), the report on the execution of the liquidation pursuant to § 75 (1), the list of members referred to in § 75a (1) or the report on the disposal of assets pursuant to § 75 (6);
(e) the decision to amend the legal form and the report on the change of legal form, the merger contract, the transfer of capital or the division thereof, and, where appropriate, its written proposal, the project of division, the merger report, the transfer of capital or division, the expert report on the merger, the transfer of capital or division;
(f) a decision by the court on the nullity of a resolution of the General Assembly amending the legal form, the merger, the transfer of assets or the division and the nullity of the merger contract, the transfer of assets or the division;
(g) an expert or experts' opinion on the valuation of a non-cash contribution when setting up a limited liability company or a public limited company or when increasing their capital, an expert or experts' opinion on the valuation of the non-cash contribution of a commanditist to a limited company, an expert's opinion on the valuation of assets in the conversion of legal persons (§ 69) and the valuation of assets pursuant to § 196a (3);
(h) court decisions issued under the bankruptcy and settlement law;
(i) the contract for the transfer of an undertaking or part thereof, the contract for the lease of an undertaking or part thereof, including the notification of its extension pursuant to Paragraph 488f (1), any instrument proving the termination of the lease, the order of the court on the acquisition by inheritance;
(j) the control contract (§ 190b) and the profit transfer agreement (§ 190a), including their amendments, and any documents proving the termination of the contract;
(k) proof of the consent of the other spouse to use the assets in the common capital of the spouses for business under a special law, a copy of the notarial record of a contract to change the scope of the joint capital or to reserve it under a special law, if such a contract has been concluded, or a decision by the court to narrow the joint capital or, where appropriate, a contract to distribute the income of the enterprise under a special law; in the case of a divorce, a joint-capital settlement agreement must be imposed in accordance with a special law or court decision or, where applicable, a declaration by the entrepreneur that the agreement or court decision has not been made;
(l) the contract for the cessation of the holding and, where appropriate, proof of its transfer;
(m) the list of negotiations referred to in Article 64 (3);
(n) the order of the General Assembly pursuant to Article 210,
(o) a decision by the court on the enforcement of a decision to dispose of a member's share in the company, the sale of an undertaking or part of it, and a decision by the court to terminate the enforcement of that decision, an order for the execution of a member's share in the company, the sale of an undertaking or part thereof, and a decision to stop and cancel the execution;
(p) the decision of the Ministry of Education, Youth and Sports to grant state approval to act as a private university;
(r) other documents on which the law so provides.
(3) Where an organisational component of an undertaking or an undertaking of a foreign person is entered in the Commercial Register, it shall be deposited in the collection of documents:
(a) accounting records relating to the activity of the organisational component of an undertaking or an undertaking of a foreign person, in accordance with the obligation to control, process and publish them in accordance with the legal rules governing the foreign person; where such an arrangement does not comply with the requirements of this Law and the specific legislation, the accounting records relating to the activity of the branch referred to in § 27a (2) (c) must be kept in the collection of documents;
(b) the social contract, statutes and similar instruments by which a foreign person was established, including their amendments and their full text;
(c) a certificate of registration or other registration of the country of residence of a foreign person of registration;
(d) an indication or evidence of a burden on the company's assets in another State where the means of guarantee is bound by its publication.
(4) Where an organisational component of an undertaking or an undertaking of a foreign person has its registered office in one of the Member States of the European Union is registered, only the documents referred to in paragraph 3 (a), (b) and (c) shall be deposited in the collection of documents.
(5) The obligation under paragraph 3 (a) does not apply to branches of foreign banks.
(6) In the collection of documents, signature models of persons who are registered as binding persons pursuant to paragraph 2 (b) and of the senior organisational components of foreign and foreign enterprises shall be stored.
(7) An entrepreneur registered in a commercial register shall, without undue delay, submit in duplicate to the Registry Court the documents which are incorporated in the collection of documents. Judgments of the court which are based in the collection of documents shall be filed in the collection of documents by the court. If a particular fact is recorded in the Commercial Register but the corresponding document is not stored in the Collection of Documents, the Registry Court shall, as soon as it finds this, be obliged to record it in the Collection of Documents and invite the entrepreneur to base the document without undue delay in the Collection of Documents.
(8) If the instrument to be deposited in the collection of documents is not drawn up in the Czech language, the Registry Court shall be entitled to require that an officially certified translation of the document into the Czech language be deposited in the collection of documents.
The Registry Court shall keep a separate file for each registered entrepreneur, organisational component of the enterprise or business of foreign persons in the collection of documents.
If there are several organisational elements of an enterprise of one foreign person on the territory of the Czech Republic, the documents referred to in Section 27a (3) may be deposited in the file of the list of documents by only one of them, at the choice of the foreign person. In that case, a reference to the register file of the selected organisational component, including the registration number, shall be included in the file of the other organisational components of the undertaking of the same foreign person.
(1) The following information is entered in the Commercial Register:
(a) the firm, in the case of legal persons, the registered office, the natural person's place of residence and the place of business, if different from the place of residence;
(b) identification number,
(c) the subject of business (activity);
(d) the legal form of the legal entity;
(e) the name and address or the company and the registered office of the person or persons who are the statutory authority or its members, indicating the manner in which they act on behalf of the legal person, and the date on which their office was established and, where appropriate, the date of termination; where the statutory authority or its member is a legal person, the name and address of the persons who are its statutory authority or its member;
