amending certain financial market laws relating to the establishment and functioning of a single European access point
Parliament has decided on this law of the Czech Republic:
Amendment to the Accounting Act
Act No. 563 / 1991 Coll., as amended by Act No. 117 / 1994 Coll., Act No. 227 / 1997 Coll., Act No. 492 / 2000 Coll., Act No. 353 / 2001 Coll., Act No. 230 / 2009 Coll., Act No. 437 / 2003 Coll., Act No. 81 / 2006 Coll., Act No. 648 / 2008 Coll., Act No. 264 / 2006 Coll., Act No. 261 / 2007 Coll., Act No. 266 / 2007 Coll.
1. In Paragraph 1 (1), the words "the relevant Regulation 'are replaced by the words" the relevant Regulations' and the words "the applicable Regulations' are replaced by the words" the applicable Regulations'.
2. At the end of footnote 1, the sentence "Article 9 of Directive (EU) 2023 / 2864 of the European Parliament and of the Council of 13 December 2023 amending certain Directives as regards the establishment and functioning of a single European access point shall be added to the separate line. '
3. At the end of footnote 38, the sentence "Regulation (EU) 2023 / 2859 of the European Parliament and of the Council of 13 December 2023 establishing a single European access point providing centralised access to publicly available information on financial services, capital markets and sustainability, as amended, is added to the separate line. '
4. The following Section 21c is inserted after Section 21b, including the title and footnote 50:
Access to documents at the single European access point
(1) An entity that is required to publish a sustainability report, a consolidated sustainability report, a sustainability report from a third country or a consolidated sustainability report from a third country shall transmit the following documents to the Czech National Bank for the purpose of making them available through a single European access point without delay after their publication, where this law or specific legislation requires their publication:
(a) the annual report;
(b) a consolidated annual report;
(c) the accounts;
(d) consolidated financial statements;
(e) the audit report of the statutory audit,
(f) the audit report on the verification of the sustainability report;
(g) the audit report on the verification of the consolidated sustainability report;
(h) the sustainability report if it is not part of the annual report;
(i) a consolidated sustainability report if it is not part of the consolidated annual report;
(j) the report on the sustainability of the third-country person and the report on his or her verification or declaration that the verification report has not been provided;
(k) a consolidated report on the sustainability of a third country person and a report on his or her verification or declaration that his or her verification report has not been provided;
(l) a report on payments to the authorities of the administration of a Member State of the European Union or of a third country; and
(m) a consolidated report on payments to the administrations of a Member State of the European Union or a third country.
(2) The documents referred to in paragraph 1 shall be transmitted by the entity in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 285950 of the European Parliament and of the Council), or in a machine-readable format in accordance with Article 2 (4) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, provided that the machine-readable format is required by this law or by a specific law, and is accompanied by the following metadata:
(a) by its name or business name and by the name or business name of the consolidating entity or of a consolidated foreign person, unless the entity is obliged to draw up a sustainability report under Paragraph 32g;
(b) the legal entity identification code referred to in Article 7 (3) (b) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(c) the legal entity identification code referred to in Article 7 (3) (b) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council of the European Parliament and of the Council by the consolidating entity or by the consolidated foreign person, unless the entity is required to draw up a sustainability report under Paragraph 32g;
(d) the size of the entity by category according to the directly applicable European Union Regulation issued pursuant to Article 7 (4) (d) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(e) the industrial sectors of the entity's economic activities according to the directly applicable European Union regulation issued pursuant to Article 7 (4) (e) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(f) the type of information transmitted classified in accordance with the directly applicable European Union Regulation, issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council; and
(g) a note indicating whether the documents contain personal data.
(3) Details concerning the form and manner of transmission of documents to the Czech National Bank pursuant to paragraph 2 shall be laid down by the Order.
(4) The documents received by the Czech National Bank pursuant to paragraph 1 shall be made available in accordance with Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in a single European access point.
(5) By transmitting the documents referred to in points (a) to (k) of paragraph 1 in accordance with the specific legislation of the Czech National Bank, if such documents meet the metadata requirements of paragraph 2, the entities fulfil the obligation in paragraph 1.
50) Regulation (EU) 2023 / 2859 of the European Parliament and of the Council of 13 December 2023 establishing a single European access point providing centralised access to publicly available information on financial services, capital markets and sustainability, as amended. ';
5. in Article 37a (1) (u), the word "or" shall be deleted;
6. In Paragraph 37a (1), at the end of point (v), the dot is replaced by "or 'and the following point (w) is added:
"(w) shall not transmit documents to the Czech National Bank pursuant to § 21c (1) and (2)."
7. in Article 37a (2) (o), the word "or" shall be deleted;
8. In Paragraph 37a (2), at the end of point (p), the dot is replaced by "or 'and the following point (q) is added:
"(q) will not transmit documents to the Czech National Bank pursuant to § 21c (1) and (2)."
9. In Article 37a (4), the words "or (w) 'shall be added at the end of the text in point (b).

3. In Section 12w, the following paragraph 4 is added:
"(4) The list referred to in paragraph 3 shall be made available by the Czech National Bank in the single European access point referred to in Article 5 of Regulation (EU) 2023 / 285950 of the European Parliament and of the Council in the format from which data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council and shall be accompanied by the metadata referred to in Article 116a (b) of Directive 2013 / 36 / EU.
50) Regulation (EU) 2023 / 2859 of the European Parliament and of the Council of 13 December 2023 establishing a single European access point providing centralised access to publicly available information on financial services, capital markets and sustainability, as amended. ';
4. In Section 26ab, paragraph 4 is added:
"(4) The decision referred to in paragraph 1 shall be made available by the Czech National Bank in a single European access point in accordance with Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in the format from which data can be obtained, as referred to in Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council and shall be accompanied by metadata as referred to in Article 116a (b) of Directive 2013 / 36 / EU. Where a decision is published in accordance with paragraph 2, the metadata referred to in Article 116a (b) of Directive 2013 / 36 / EU shall measure it, with the exception of identification data on the person who has been placed under the remedy measure. ';
5. In Article 36e (1), the words "or shall not be sent to the European Banking Authority in accordance with Article 434b of Regulation (EU) No 575 / 2013 of the European Parliament and of the Council" shall be added at the end of the text of point (k).
6. In Paragraph 36j (4), "3 or 4 'is replaced by" 2 or 3';
7. In Paragraph 36j, the following paragraph 5 is added:

4. In Article 27b (2), the words "or not sent to the European Banking Authority pursuant to Article 434b of Regulation (EU) No 575 / 2013 of the European Parliament and of the Council" shall be added at the end of the text in point (i).
5. In § 27ea, the following paragraph 5 is added:
"(5) The decision referred to in paragraph 2 shall be made available by the Czech National Bank in a single European access point in accordance with Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in the format from which data can be obtained, as referred to in Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council and shall be accompanied by metadata as referred to in Article 116a (b) of Directive 2013 / 36 / EU. Amendment to the Capital Market Supervisory Act

4. At the end of footnote 41, the sentences are added to the separate rows

5. In footnote 1, the fourth sentence is deleted.
6. The following Section 12 is inserted after Section 11:
By decree, the Czech National Bank shall provide details on the form and manner of transmission of information under:
(a) Article 11a (1) of Regulation (EU) No 236 / 2012 of the European Parliament and of the Council;
(b) Article 21a (1) of Regulation (EU) 596 / 2014 of the European Parliament and of the Council;
(c) Article 29a (1) of Regulation (EU) 1286 / 2014 of the European Parliament and of the Council;
(d) Article 28a of Regulation (EU) 2016 / 1011 of the European Parliament and of the Council,
(e) Article 21a (1) of Regulation (EU) 2017 / 1129 of the European Parliament and of the Council;
(f) Article 18a of Regulation (EU) 2019 / 2088 of the European Parliament and of the Council;
(g) Article 110a of Regulation (EU) 2023 / 1114 of the European Parliament and of the Council; and
(h) Article 15a of Regulation (EU) 2023 / 2631 of the European Parliament and of the Council. "
7. In Article 14 (6) of the Introductory Part of the provision, the words "or Directive 2009 / 65 / EC of the European Parliament and of the Council 'shall be inserted after the words" the place'; the words "as referred to in Article 5 of Regulation (EU) 2023 / 285945 of the European Parliament and of the Council 'shall be inserted.
8. In Article 14 (6) of the Introductory Part of the provision, the words "or Directive 2009 / 65 / EC of the European Parliament and of the Council 'are replaced by the words" Directive 2009 / 65 / EC of the European Parliament and of the Council, Directive (EU) 2014 / 65 of the European Parliament and of the Council, Directive (EU) 2019 / 2034 of the European Parliament and of the Council or in relation to an infringement of Regulation (EU) No 600 / 2014 of the European Parliament and of the Council'.
9. In Paragraph 14, the following paragraph 7 is added:
"(7) Where the decision referred to in paragraph 1 concerns the granting of an authorisation authorising the management of a standard fund or a foreign investment fund comparable to the standard fund, the Czech National Bank shall make this decision available at the single European access point referred to in Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in the format from which data may be obtained, as referred to in Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council and shall provide it with metadata in accordance with Article 82a (4) (b) of Directive 2009 / 65 / EC. ';

1. In Article 1, at the end of the text of paragraph 2, the words "and to the directly applicable European Union regulation governing the single European access facility (15) 'shall be added.

"(4) The information provided to investors pursuant to paragraph 1 by the issuer at the same time as the publication referred to in paragraph 3 shall be transmitted to the Czech National Bank in the format from which data may be obtained pursuant to Article 2 (3) of Regulation (EU) 2023 / 285915 of the European Parliament and of the Council, or in a machine-readable format as referred to in Article 2 (4) of Regulation (EU) 2023 / 285915 of the European Parliament and of the Council, provided that the machine-readable format is required by another legislation, and that the information is provided with the following metadata:
(a) the issuer's identification data;
(b) the legal entity identifier referred to in paragraph 5 to the issuer;
(c) the size of the issuer by category according to the directly applicable European Union Regulation issued pursuant to Article 7 (4) (e) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(d) the type of information classified in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(e) a note indicating whether the information contains personal data.
(5) The issuer shall obtain the legal entity identification code referred to in Article 7 (3) (b) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council.
(6) The information received by the Czech National Bank pursuant to paragraph 4 will be made available in accordance with Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in a single European access point.
(7) Details concerning the form and manner of transmission of information to the Czech National Bank pursuant to paragraph 4 shall be determined by the Order of the Czech National Bank. "
4. In Article 32j, the following paragraph 3 is added:
"(3) The information referred to in points (b) to (d) of paragraph 1 shall be made available by the Czech National Bank, at the same time as its publication, at the single European access point referred to in Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in the format from which data may be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, respecting the metadata requirements of Article 26a (4) of Directive 2019 / 21621 of the European Parliament and of the Council."

1. 2. In Article 32c, the following paragraph 6 is added:
"(6) The information entered in the list of tied representatives of the Czech National Bank shall be made available by the Czech National Bank in the single European access point referred to in Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, and shall include metadata as referred to in Article 87a (b) of Directive 2014 / 65 / EU. ';
3. In Article 47, the following paragraphs 5 and 6 are inserted after paragraph 4:
"(5) The data referred to in paragraph 4 shall be transmitted by the organiser of the regulated market at the same time as the publication to the Czech National Bank in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, unless another format is laid down directly by the applicable European Union Regulation, bearing the following metadata:
(a) identification details of the organiser of the regulated market;
(b) the legal entity identifier referred to in paragraph 6 to the operator of the regulated market;
(c) the size of the organiser of the regulated market by category in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (e) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(d) the type of information classified in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council; and
(e) a note indicating whether the information contains personal data.
(6) The regulated market operator shall establish the legal entity identification code referred to in Article 7 (3) (b) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council. ';
Paragraph 5 shall become paragraph 7.
4. In Paragraph 47 (7), the words "such data 'are replaced by the words" the data referred to in paragraph 4 and the details of the form and manner of transmission of the data referred to in paragraph 5 to the Czech National Bank'.
5. In Paragraph 61, the following paragraph 4 is inserted after paragraph 3:
"(4) The decision referred to in paragraphs 1 and 2 shall be transmitted by the regulated market operator at the same time as the publication to the Czech National Bank in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, bearing the following metadata:
(a) identification details of the organiser of the regulated market;
(b) the legal entity identifier referred to in Article 47 (6) to the operator of the regulated market;
(c) the type of information classified in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council; and
(d) a statement as to whether the decision contains personal data. "
Paragraphs 4 to 6 shall be renumbered paragraphs 5 to 7.
6. In Paragraph 61, the following paragraph 8 is added:
"(8) Details of the form and manner of transmission of decisions pursuant to paragraph 4 to the Czech National Bank shall be laid down in the implementing legislation. ';
7. In Section 73b, paragraphs 6 to 8 are added:
"(6) The information published in accordance with paragraph 2 (d), (e) and (g) shall be transmitted by the operator of the multilateral trading venue or the issuer at the same time as the publication to the Czech National Bank in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, unless another format is provided by this law or by a directly applicable European Union Regulation, bearing the following metadata:
(a) the identification details of the operator of the multilateral trading venue and of the issuer;
(b) the legal entity identifier referred to in paragraph 7 belonging to the operator of the multilateral trading venue and to the issuer;
(c) the size of the operator of the multilateral trading venue and the issuer by category in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (e) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(d) the type of information classified in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council; and
(e) a note indicating whether the information contains personal data.
(7) An operator of a multilateral trading venue and an issuer that is a legal entity shall establish an identification code for a legal entity in accordance with Article 7 (3) (b) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council.
(8) Details concerning the form and manner of transmission of the information referred to in paragraph 6 to the Czech National Bank shall be laid down in the implementing legislation. '.
8. In Part 11, Title IV, the following Section 121va is inserted after Section 121v:
(1) The information referred to in Articles 120b (2), 121k (4), 121o (4) and 121u (1) and (2) shall be transmitted by the issuer at the same time as their publication to the Czech National Bank in the format from which the data can be obtained, in accordance with Article 2 (3) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council, provided that the machine-readable format is required by other legislation, and is accompanied by the following metadata:
(a) the issuer's identification data;
(b) the legal entity identification code referred to in Article 127 (4) to the issuer;
(c) the size of the issuer by category in accordance with the directly applicable European Union Regulation issued pursuant to Article 7 (4) (d) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(d) the industrial sectors of the economic activities of the issuer in accordance with the directly applicable European Union regulation issued pursuant to Article 7 (4) (e) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council;
(e) the type of information classified in accordance with the directly applicable European Union Regulation, issued pursuant to Article 7 (4) (c) of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council; and
(f) a statement as to whether the information contains personal data.
(2) Details concerning the form and manner of transmission of the information referred to in paragraph 1 to the Czech National Bank shall be laid down in the implementing legislation. '.
9. In Article 127a (1) of the Introductory Part of the provision, the words "in accordance with Article 5 of Regulation (EU) 2023 / 2859 of the European Parliament and of the Council 'shall be inserted after the words" in place'.
10. in Article 127a (1) (d), the words "the Committee of European Securities Regulators" shall be replaced by the words "ESMA."
11. in Article 127b, the words "Committee of European Securities Regulators" shall be replaced by the words "ESMA."
12. In Article 127b, the current text becomes paragraph 1 and the following paragraphs 2 to 5 are added:
"(2) If the fulfilment of the requirements of § 127a (1) is not jeopardised, the Czech National Bank may conclude a public contract with another person in respect of which the obligations under § 127a are fulfilled.
(3) The public contract referred to in paragraph 2 shall include the scope and content of the obligations to be carried over and the conditions for such execution, in particular:
(a) an adjustment for costs;
(b) the procedure and time limits for the transmission of information and notifications to be made available;
