amending Act No. 513 / 1991 Coll., Commercial Code, as amended, Act No. 627 / 2004 Coll., on European Society, as amended, Act No. 21 / 1992 Coll., on Banks, as amended, Act No. 126 / 2002 Coll., Act No. 357 / 1992 Coll., on Inheritable Tax, Donation Tax and Real Estate Transfer Tax, as amended, Act No. 125 / 2008 Coll., on Transformations of Commercial Companies and Cooperatives, and Act No. 40 / 1964 Coll., Civil Code, as amended

Parliament has decided on this law of the Czech Republic:

ČÁST DRUHÁ

Amendment of the European Company Act

Čl. III

Act No. 627 / 2004 Coll., on European Society, as amended by Act No. 264 / 2006 Coll., Act No. 296 / 2007 Coll. and Act No. 126 / 2008 Coll., is amended as follows:

(1) Paragraph 33, including footnotes 14 and 15, shall be deleted.

2. Article 34 shall be deleted;

3. Article 41 shall be deleted;

Čl. IV

Transitional provision

Legal relations which arose before the date of entry into force of this Act shall be governed by existing legislation.

ČÁST TŘETÍ

Amendment to the Banking Act

Čl. V

Paragraph 18 (3) of Act No. 21 / 1992 Coll., on Banks, as amended by Act No. 126 / 2002 Coll., including footnote 4b reads:

"(3) The provisions of the Commercial Code on Conflict of Interest concerning the provision of loans, loans and collateral by public limited liability companies to members of the institutions and other persons shall not apply to banks 4b).

4b) § 196a of the Commercial Code. '

ČÁST PÁTÁ

Amendment to the Act on Transformation of Commercial Companies and Cooperatives

Čl. VII

Act No. 125 / 2008 Coll., on Transformations of Commercial Companies and Cooperatives, is amended as follows:

1. in Articles 92 (1) and 284 (1), "117" is replaced by "116."

„§ 117

An expert report or expert report on a national merger shall not be required if all shareholders of all the companies involved so agree. '

This Act shall take effect on the day of its publication.
