DECLARATION
Minister for Foreign Trade
of 5 August 1971
on the establishment of Omnia, a foreign trade undertaking
The Foreign Trade Minister provides in the agreement with the Minister of Finance of the CSSR pursuant to § 2 and 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Sailing, and under § 38 (1) (b) of Act No. 133 / 1970 Coll., on the jurisdiction of federal ministries:
Establishment of an undertaking
OMNIA, foreign trade undertaking ("the undertaking ').
(1) Bratislava is the head office of the holding.
(2) The company may, where appropriate, set up subsidiary plants outside its registered office with the approval of the Federal Ministry of Foreign Trade.
(1) Foreign trade in products of general and precise engineering is the object of the business:
- household appliances: refrigerators, washing machines and dishwashers, television and radio receivers, magnetophones, dictaphones, household sewing machines and knitting machines, hand-held electric lamps, household installation materials;
- rolling and gliding bearings;
- material handling equipment.
(2) Other types of products of general and precise engineering, the export or import of which will be reserved for the undertaking, as well as the specification of the types of products referred to in paragraph 1, are specified in detail by the Minister for Foreign Trade by a special measure published in the Bulletin of the Federal Ministry of Foreign Trade.
(3) The undertaking shall be entitled to conduct all activities directly linked to the subject matter of its activity under paragraphs 1 and 2.
To the extent of the authorisation of an undertaking pursuant to Article 3, the authorisation of undertakings shall be limited at the same time on 1 January 1972: an investment, a public limited company for export and import of machinery and equipment; Kovo, Foreign Trade Company; Mercury, foreign business. The contracts concluded and, on that date, outstanding for the supply of goods for which the said undertakings are authorised to export and import and which relate to the restriction provided for in the preceding sentence, shall continue to be completed by the designated undertakings after that date.
(1) The undertaking is a separate legal entity.
(2) The company is an economic organisation which manages itself and is responsible for its obligations with its assets.
(3) Neither the State nor any other organisation is liable for the undertaking's actions and commitments.
(4) The company is not liable for the obligations of the State or other organisations.
(5) An undertaking shall be registered as owner of immovable property.
(1) The undertaking is managed by the Director-General appointed and removed by the Minister for Foreign Trade; The Director-General shall be personally accountable to the Foreign Trade Minister.
(2) The Director-General represents the undertaking externally and is entitled to all measures and decisions in the management of the undertaking.
(3) The Minister for Foreign Trade may appoint one or more Deputy Directors-General. The Deputy Director shall represent the Director-General in full capacity.
(4) When appointing the Minister for Foreign Trade, the Director-General and his Deputy Directors undertake to carry out their duties conscientiously.
(5) The Minister for Foreign Trade may make his own arrangements for the interim management of the management of the undertaking.
The core capital of the company is CZK 30,000,000.
(1) The company is under the jurisdiction of the Federal Ministry of Foreign Trade.
(2) The Minister for Foreign Trade will issue more detailed provisions on the tasks of the undertaking, its organisation, the performance of its activities, the responsibilities of the workers and the supervision of the Federal Ministry of Foreign Trade.
The contracts concluded and not yet completed for the supply of goods for which the designated Directorate-General has been authorised to export and import by the date of application of this Order, the associated machinery and enamel, the Directorate-General in Bratislava, under the foreign trade authorisation granted, shall be completed by the designated Directorate-General after the effective date of the decree, unless otherwise agreed with the undertaking.
This Decree shall take effect on 1 September 1971.
