DECLARATION
Minister for Foreign Trade
of 5 August 1971
on the establishment of an Incheby, a foreign trade enterprise
The Foreign Trade Minister provides in the agreement with the Minister of Finance of the CSSR pursuant to § 2 and 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Sailing, and under § 38 (1) (b) of Act No. 133 / 1970 Coll., on the jurisdiction of federal ministries:
Establishment of an undertaking
INCHEBA, foreign trade undertaking ("the undertaking ').
(1) The seat of the holding is Bratislava
(2) The company may, where appropriate, set up subsidiary plants outside its registered office with the approval of the Federal Ministry of Foreign Trade.
(1) The activity of the company is the performance of foreign trade services in the field of exhibition and promotion and export and import of related goods, namely:
1. as main activity
(a) the exclusive organisation of the International Chemical Fair INCHEBA and other exhibitions in the field of chemistry in the Czech Republic which are relevant for foreign trade;
(b) the organisation of exhibitions and participation in exhibitions in the Czech Republic for Czech enterprises as well as for foreign enterprises and organisations with regard to exhibitions relevant to foreign trade;
(c) the organisation of separate Czechoslovak official exhibitions abroad and the organisation of official Czechoslovak participation in international fairs and exhibitions and the organisation of other undertakings of a similar nature abroad where they are relevant for foreign trade;
(d) the provision of exhibitions and participation in exhibitions abroad for Czech enterprises and organisations with regard to exhibitions relevant to foreign trade;
(e) the implementation of agency promotion activities of all kinds related to foreign trade, including the import and export of promotional means and services, the establishment of necessary facilities abroad and the provision of publishing activities for the promotion of Czechoslovak products;
2. as a secondary activity
(a) activities directly related to the main subject-matter of the business, in particular ensuring the production of promotional equipment;
(b) representation of foreign professional advertising and exhibition firms in the Czech Republic;
(c) exports of promotional items for purposes other than the promotion of exports of Czechoslovak goods.
(2) The specification of the product types referred to in point (2) (c) of paragraph 1 shall be determined in detail by the Foreign Trade Minister by a special measure published in the Bulletin of the Federal Ministry of Foreign Trade.
(1) The undertaking is a separate legal entity.
(2) The company is an economic organisation which manages itself and is responsible for its obligations with its assets.
(3) Neither the State nor any other organisation is liable for the undertaking's actions and commitments.
(4) The company is not liable for the obligations of the State or other organisations.
(5) An undertaking shall be registered as owner of immovable property.
(1) The undertaking is managed by the Director-General appointed and removed by the Minister for Foreign Trade; The Director-General shall be personally accountable to the Foreign Trade Minister.
(2) The Director-General represents the undertaking externally and is entitled to all measures and decisions in the management of the undertaking.
(3) The Minister for Foreign Trade may appoint one or more Deputy Directors-General. The Deputy Director shall represent the Director-General in full capacity.
(4) When appointing the Minister for Foreign Trade, the Director-General and his Deputy Directors undertake to carry out their duties conscientiously.
(5) The Minister for Foreign Trade may make his own arrangements for the interim management of the management of the undertaking.
The core capital of the company is CZK 10,000,000.
(1) The company is under the jurisdiction of the Federal Ministry of Foreign Trade.
(2) The Minister for Foreign Trade will issue more detailed provisions on the tasks of the undertaking, its organisation, the performance of its activities, the responsibilities of the workers and the supervision of the Federal Ministry of Foreign Trade.
The right to the undertakings of the Brno fairs and exhibitions, the company for the organisation of fairs and exhibitions and Rapida, the Czechoslovak advertising agency, *) is not affected by this decree.
This Decree shall take effect on 1 September 1971.
