DECLARATION
Minister for Foreign Trade
of 22 June 1971
on the foreign trade undertaking Simex and its authorisation for foreign trade
The Minister of Foreign Trade provides in agreement with the Minister of Finance of the CSSR pursuant to § 2 (2) and § 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Shipbuilding, and § 38 (1) (b) of Act No. 133 / 1970 Coll., on the jurisdiction of federal ministries:
The Foreign Trade Company Simex, established by the Foreign Trade Minister's measure of 12.12.1968 (hereinafter referred to as "the Company ') *, is hereby designated to conduct foreign trade activities to the following extent:
(a) the export or import of goods and, where appropriate, the performance of services in foreign trade exclusively within the scope of the Federal Ministry of Foreign Trade for each individual case;
(b) the import of goods or services for national coordinated actions of complex construction within the country, entrusted to the enterprise by a separate decision of the Federal Ministry of Foreign Trade.
The undertaking is entitled to carry out all activities directly related to its business.
(1) Prague is the head office of the company. The company may, where appropriate, set up subsidiary plants outside its registered office with the approval of the Federal Ministry of Foreign Trade.
(2) The undertaking is a separate legal entity; it is an economic organisation which manages itself and is responsible for its commitments to its assets. An undertaking shall be registered as owner of immovable property.
(3) Neither the State nor any other organisation is liable for the undertaking's actions and commitments. The undertaking is not liable for the obligations of the State or other organisations.
(4) The company is managed by the CEO, who is personally responsible to the Foreign Trade Minister. The Director-General of the Enterprise is the Director-General of the Foreign Trade Company Strojexport; represents the undertaking externally and is entitled to all measures and decisions in the management of the undertaking. The Director-General may delegate to Strojexport one of his Deputy Directors in the Foreign Trade Company full authority to represent him in the management of the undertaking.
(5) The Minister for Foreign Trade may make his own arrangements for the interim management of the corporate governance.
The company's core capital is 27,000,000 CZK.
In cases where, pursuant to a decision of the Federal Ministry of Foreign Trade, the undertaking has been or will be entrusted with the import or export of goods or services (Section 1), the authorisation of individual undertakings or organisations to carry out foreign trade activities is limited to the same extent.
This Decree shall take effect on the day of its publication; the organisational integration of the undertaking is governed by it from 1 April 1971.
