DECLARATION
of 1 December 2017
on the information obligations of certain persons engaged in the capital market
Pursuant to Article 199 (2) of Act No. 256 / 2004 Coll., on Capital Market Enterprise, as amended by Act No. 204 / 2017 Coll., pursuant to § 16 (7), § 47 (5), § 50 (8), § 63 (5), § 71 (5), § 73f (7), § 77 (3), § 90c (4) of the Act, and under § 41 (3) of the Act No. 6 / 1993 Coll., on the Czech National Bank, as amended by Act No. 227 / 2013 Coll.:
Subject matter
This decree regulates the content, form, frequency, timelimits and presentation of the Czech National Bank's reports by certain persons operating in the capital market, both following the directly applicable European Union1) and other statements to ensure the tasks of the Czech National Bank, as well as the submission and publication of further information by these persons.
Definition of terms
For the purposes of this decree:
(a) the structured data set created by the reporting entity;
(b) a data set of electronic data clusters with defined data structures;
(c) reporting agent
1. a securities dealer who is a bank,
2. a foreign bank authorised to provide investment services that provides services in the Czech Republic through its branch (hereinafter referred to as the "branch of a foreign bank"),
3. a securities dealer who is not a bank or branch of a foreign bank;
4. a foreign person authorised to provide investment services who is not a bank and who provides services in the Czech Republic through his branch,
5. an investment company and a foreign person authorised to operate by an economy (2) which is not comparable to the investment fund if it manages the assets of the client of which the investment instrument is part, on the basis of free consideration under the contractual arrangement (portfolio management) 3;
6. an investment company from another Member State of the European Union which, through its branch of the Czech Republic, manages the assets of the client of which the investment instrument is part on the basis of free consideration in the framework of a contractual arrangement (portfolio management) 3,
7. organiser of the regulated market;
8. operator of a multilateral trading venue;
9. operator of the organised trading venue;
10. operator of the settlement system,
11. provider of group finance services.
Statements in accordance with directly applicable European Union rules
Statements pursuant to the directly applicable European Union rules governing the field of capital markets, the prudential requirements of credit institutions and investment firms or the activities of group finance service providers and the directly applicable European Union rules implementing them (1) shall be drawn up and submitted in accordance with Article 9 (1).
Reporting on the provision of investment services, trading in trading venues and settlement of transactions and transfers
(1) The reporting agents referred to in Article 2 (c) (1), (3), (5) and (6) shall compile for each business day and shall submit the following statements by the end of the working day following that business day at the latest:
(a) FIM (ČNB) 20-97 "Information on closed, settled and cancelled transactions and transfers,"
(b) FIM (ČNB) 30-97 "Information on all received instructions,"
(c) FIM (CNB) 11-97 "Additional information on closed, settled and cancelled transactions and transfers,"
(d) REF (ČNB) 10-97 "Information on investment vehicles covered by orders, transactions and transfers"; and
e) REF (ČNB) 30-97 "Information about persons."
(2) The reporting agents referred to in Articles 2 (c) (2) and (4) shall draw up, for each business day, the statements referred to in paragraph 1 and submit them no later than 7 days after that business day.
(3) The reporting agents referred to in points 7 to 9 of Section 2 (c) shall compile for each business day and submit the following statements at the latest by the end of the working day following that business day:
(a) FIM (ČNB) 12-97 "Information on transactions in investment instruments for trading venues,"
b) FIM (ČNB) 40-97 "Information on orders in the trading system,"
c) FIM (ČNB) 60-97 "Information on prices and volume of transactions,"
(d) FIM (ČNB) 70-97 "Index Information"; and
(e) REF (ČNB) 40-97 "Information on participants in a trading venue and settlement system with irrevocability of settlement."
(4) The settlement system operator shall compile and submit:
(a) not later than the end of the working day following each working day, the following statements:
1. FIM (ČNB) 50-97 "Information on settlement of transactions and transfers"; and
2. REF (ČNB) 40-97 "Information on participants in a trading venue and settlement system with irrevocable settlement"; and
(b) no later than the end of the working day preceding the date on which the data or their change relate, the REF (CNB) statement 20-97 "Information on settlement instruments."
(5) An operator of a trading venue on which commodity derivatives or greenhouse gas emission allowances or their derivatives are traded shall compile for each trading day and submit at the latest by the end of the working day following that trading day the COM (CNB) 20-97 "Reporting of positions in commodity derivatives, emission allowances and their derivatives'.
(6) The content of the statements referred to in paragraphs 1 to 5 is set out in Annex 1 to this Decree.
Statement of customer assets, financial and economic situation, organisational structure and persons with qualifying holdings
(1) The reporting agents referred to in points (1) to (6) of Section 2 (c), where they are entitled to receive funds or client investment instruments, shall compile the following statements on the last day of the calendar month and shall submit the following statements within 20 days of the end of the reference calendar month:
(a) MKT (ČNB) 51-12 "Overview of securities held by customers";
(b) MKT (ČNB) 52-12 "Overview of other investment vehicles held by customers,"
c) MKT (ČNB) 53-12 "Overview of funds held by customers',
(d) MKT (ČNB) 54-12 "Overview of changes in the number of investment vehicles held by customers"; and
(e) MKT (ČNB) 55-12 "Overview of changes in funds in customers' assets."
(2) The reporting agents referred to in Articles 2 (c) (3) and (4) on the last day of the calendar quarter shall draw up and submit the following statements within 30 days of the end of the reference calendar quarter to which they relate:
(a) FIN (IND) 01-12 "Financial information (FINREP) on an individual basis"; and
(b) OCP (ČNB) 48-04 "Organizational structure and persons with qualified participation."
(3) The reporting agent referred to in point (3) of Article 2 (c) of Regulation (EU) 2019 / 2033 of the European Parliament and of the Council, which is a European controlling investment firm or controlled by a European investment holding company and is also included in the prudential consolidation pursuant to Article 7 of Regulation (EU) 2019 / 2033 of the European Parliament and of the Council, shall draw up, on the last day of the calendar quarter and submit, within 11 days of the second month following the end of the reference calendar quarter to which it relates, the FIN (CON) statement 01- 04 "Financial information (FINREP) on a consolidated basis'.
(4) Where several reporting agents as referred to in paragraph 3 are controlled by the same European investment holding company, the FIN report (CON) 01-04 "Financial information (FINREP) on a consolidated basis" shall be compiled and presented by the reporting agent with the highest balance sheet total.
(5) The content of the statements referred to in paragraphs 1 to 3 is set out in Annex 1 to this Decree.
Information on remuneration
(1) The reporting agent referred to in Article 2 (c) (3), which is not an investment firm pursuant to Article 12 (1) of Regulation (EU) 2019 / 2033 of the European Parliament and of the Council and is not included in the prudential consolidation at the level of the Czech Republic, shall draw up, on an individual basis, a statement of REMHE (IND) 01-01 "Information on remuneration of high-income workers for the previous financial year by 15 June of the following calendar year."
(2) If the reporting agent is in accordance with § 2 (a) (ii), (iii), (iv), (iv), (iv), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v), (v) and (v) (c) Point 3 of the European Controlling Investment Company or is controlled by a European investment holding company or a European mixed financial holding company subject to the supervision of the Czech National Bank, shall be established on a consolidated basis and shall submit a statement of REMHE (CON) 01-01 "Information on the remuneration of high-income workers on a consolidated basis for the previous financial year by 15 June of the following calendar year."
(3) Where more reporting agents as referred to in paragraph 2 are controlled by the same European investment holding company or European mixed financial holding company, the REMHE (CON) statement 01-01 "Information on the remuneration of high income workers on a consolidated basis' shall be compiled and presented by the reporting agent with the highest balance sheet total.
(4) Paragraph 1 shall apply mutatis mutandis to the reporting person referred to in Article 2 (c) (4) in respect of a branch of a foreign person other than a Member State.
(5) The content of the statements referred to in paragraphs 1 and 2 is set out in Annex 1 to this Regulation.
Reporting by the group finance service provider
(1) The reporting person referred to in point (11) of Section 2 (c) shall draw up and submit the following statements by 30 January of the following year:
(a) CRF (ČNB) 02-01 "Information to meet prudential requirements"; and
(b) CRF (ČNB) 03-01 "Selected balance sheet data and profit and loss account '.
(2) Where a group finance service provider fulfils the exemption provided for in Article 11 (3) or (4) of Regulation (EU) 2020 / 1503 of the European Parliament and of the Council, it shall not submit the statement referred to in paragraph 1 (a).
(3) Requirement to submit the statement referred to in paragraph 1 (b). (b) it shall be deemed to be fulfilled if the provider of group finance services submits the relevant balance sheet data and profit and loss account as another reporting agent under this decree or under any other legislation governing the fulfilment of the information obligation and reporting to the Czech National Bank.
(4) The content of the statements referred to in paragraph 1 is set out in Annex 1 to this Decree.
Group Report
(1) The reporting person referred to in § 2 (c) (3), which is part of the group, shall draw up by the last day of the calendar year and submit by 31 January of the following year an OCP (CNB) statement of 80-01 "Group Report '.
(2) Where several reporting agents as referred to in paragraph 1 are part of the same group, the OCP (CNB) report 80-01 "Group reporting 'shall be compiled and presented by the reporting agent with the highest balance sheet total.
(3) The person referred to in paragraph 1 shall also submit an OCP (CNB) statement of 80-01 "Group Report" without undue delay after becoming or no longer being a person under paragraph 1.
(4) The content of the statement referred to in paragraph 1 is set out in Annex 1 to this Order.
Intra-group transaction reports
(1) The reporting agent referred to in § 2 (c) (3), which is part of the group of the mixed holding person, shall draw up, on the last day of the calendar year and submit by 30 January of the following year, an OCP (CNB) report 72-01 "Intra-group transaction report '.
(2) The content of the statement referred to in paragraph 1 is set out in Annex 2 to this Order.
Information on the internal capital and liquid assets system
(1) The reporting agent referred to in Article 2 (c) (3), subject to internal capital and liquid assets rules under the law governing business on the capital market, shall draw up, for the preceding financial year and submit, not later than 4 months after the end of the financial year to which it relates, the ICA report (CNB) 01-01 "Information on the internal capital and liquid assets system '.
(2) The content of the statement referred to in paragraph 1 is set out in Annex 1 to this Order.
Submission of other information
(1) The reporting agents referred to in § 2 (c) (7) and (10) shall submit to the Czech National Bank, no later than 30 days after the end of the relevant calendar quarter, information to the extent and structure of the legislation governing the accounting of the results of their business in the previous quarter and, with the exception of the organiser of the regulated market, their financial position on the last day of the relevant calendar quarter.
(2) If the reporting agent is obliged to submit an annual report or consolidated annual report to the Czech National Bank, he shall submit it in accordance with § 9 (3) and (4).
(3) The settlement system operator shall submit the information referred to in paragraph 2 within 6 months of the end of the accounting year.
(4) The reporting agents pursuant to § 2 (c) (7) to (10) inform the Czech National Bank of:
(a) business or operational days and their changes no later than 2 working days before the first day of the period to which the data and changes relate;
(b) the code lists and their amendments used in the statements referred to in Articles 4 (3) and 4 at the latest two working days before the business or operating day to which the data and changes relate; and
(c) persons who were qualified to participate in them at the time of the general meeting within 30 days of the general meeting.
(5) If the settlement system operator has only one shareholder, it shall transmit the information on that shareholder referred to in paragraph 4 (c) within 30 days of the shareholder's decision in the performance of the general meeting.
(6) The reporting agents referred to in § 2 (c) (7) to (9) shall inform the Czech National Bank of the trading parameters and their changes in scope and structure in accordance with point 21 of Annex No 1 to this Order at the latest by the end of the working day before the business day to which the parameters and their changes relate. They shall inform without undue delay of any change in the parameters the effectiveness of which takes place during the business day and shall indicate the time of effectiveness of the change.
Common provisions for reporting
(1) The reporting officer shall proceed to draw up statements under the Accounting Act and the Regulations implementing it (4) or international accounting standards governed by European Unionlaw (5).
(2) The reporting agent shall, where required, convert data expressed in foreign currency into data expressed in Czech currency at the foreign exchange market rate declared by the Czech National Bank for the date on which the statement is drawn up, unless the laws governing accounting or prudential requirements for credit institutions and investment firms provide otherwise. For data in currencies for which the Czech National Bank does not declare foreign exchange market rates, the reporting agent shall apply the conversion according to the accounting legislation.
Method and form of submission of information
(1) The reporting person submits to the Czech National Bank the statements according to § 3 to 6b in electronic form as data messages in the format and structure of the data files.
(2) The data messages referred to in paragraph 1 are transmitted by means enabling remote access via the Internet application or user interface of the Czech National Bank collection system.
(3) The data report referred to in paragraph 1 shall be signed by the reporting person by a recognised electronic signature of the contact person.
(4) The information provided for in Section 7 is submitted by the reporting person in electronic form in the form of a data message via the data box of the Czech National Bank or to the electronic address of the Czech National Bank's office with a clear indication of the information obligation. The data message sent to the e-mail address of the Czech National Bank Registry must be accompanied by a recognised electronic signature of the contact person.
(5) If the size of the data message does not allow the submission of the information referred to in Section 7 (2) in accordance with paragraph 4, the reporting person shall send it on the technical data medium to the address of the Czech National Bank.
(6) The reporting person who compiles and presents the statements to the Czech National Bank in accordance with paragraph 1 shall communicate to the Czech National Bank the names and surnames, address of the workplace, telephone number and e-mail address of the contact persons. The reporting agent shall inform the Czech National Bank without undue delay of changes to this data.
Corrections and changes to the information submitted
(1) If an error is detected after the submission of the information to the Czech National Bank or if a change in the data or the addition has been made, the reporting person shall submit corrected, amended or supplemented information to the Czech National Bank without undue delay. Where the correction, modification or addition of data affects data in other statements or statements for other periods of time, the reporting agent shall also adjust all such subsequent statements.
(2) If, on the basis of the audit's verification of the accounts by the reporting agent, changes in the statements drawn up on 31 December or at the end of the financial year are made by the reporting agent, the reporting agent shall, without undue delay, submit those statements again with adjusted values after the corresponding changes in his accounts. Where the correction affects data in other statements or statements for further periods of time, the reporting agent shall also correct all such subsequent statements.
(3) The corrected statements shall be submitted within the time limits referred to in paragraphs 1 and 2 in accordance with the procedure laid down in paragraphs 1 and 2 of Article 9, together with information on the content and the reason for the correction.
Disclosure
The regulated market operator shall publish data on persons who, at the time of the general meeting or the decision of the sole shareholder exercising the competence of the general meeting, have had a qualifying participation and on persons controlling it, and the size of their participation in the Czech language in a manner that allows remote access, no later than 30 days from the date of the holding or decision.
Transitional provision
The obligation to draw up and submit statements relating to the period before the date of entry into force of this Order shall apply:
(a) Decree No. 235 / 2008 Coll., on the information obligations of the settlement system operator and the CSD, as effective before the date of entry into force of this Order;
(b) Decree No. 236 / 2008 Coll., on the information obligations of the organiser of the regulated market and the operator of the multilateral trading system, as effective before the date of entry into force of the Order,
(c) Decree No. 427 / 2013 Coll., on the submission of statements by securities dealers to the Czech National Bank, as effective before the date of entry into force of this decree.
Repeal
They shall be deleted:
1. Decree No. 235 / 2008 Coll., on the information obligations of the settlement system operator and the CSD.
2. Decree No. 236 / 2008 Coll., on the information obligations of the organiser of the regulated market and operator of the multilateral trading system.
3. Decree No. 427 / 2013 Coll., on the submission of reports by securities dealers to the Czech National Bank.
Efficacy
This Decision shall enter into force on 3 January 2018.

Annex No 1 to Decree No 424 / 2017 Coll.
Content of the reports submitted by reporting agents to the Czech National Bank
1. FIM (CNB) 20-97 "Information on closed, settled and cancelled transactions and transfers"
The statement shall contain details of the transactions and transfers of investment vehicles registered in the trader's log which have been executed or cancelled during the reference period. Transactions and transfers are reported which are not part of the transaction statement submitted to the Czech National Bank according to the directly applicable regulation of the European Union governing transaction reporting. All facts relating to the identification of the parties involved and the classification of investment instruments and data characterising trade or transfer shall be reported.
2.FIM (ČNB) 30-97 "Information on all received instructions"
The statement shall contain information on instructions for the purchase, sale or other transfer of investment vehicles registered in the trader's log. All orders received, including those not executed, indicating all details of the order received related to the identification and classification of the order, the customer, the contracting entity, the persons performing the professional business with the order and the investment instrument, the time and manner in which the order is received and other dispositions with it, the specification of the required transaction, the payment for execution of the order.
3. FIM (ČNB) 11-97 "Additional information on closed, settled and cancelled transactions and transfers"
The statement shall contain additional information to record transactions and transfers of investment vehicles carried out on the basis of the orders received, relating to transactions and transfers of investment vehicles that have been carried out or cancelled during the reference period and are part of the FIM (CNB) 20-97 report or the statement according to the directly applicable European Union code governing transaction reporting. Data included in the trader's log shall be reported but not reported in the statement according to the directly applicable European Union transaction reporting regulation.
4. REF (ČNB) 10-97 "Information on investment instruments related to orders, transactions and transfers"
The statement shall contain information on investment vehicles the identification of which has been used in FIM (CNB) statements 20- 97, FIM (CNB) 30- 97, FIM (CNB) 11-97 or the statement according to the directly applicable European Union code governing transaction reporting. Data on investment vehicles not reported to the Czech National Bank by the date of compilation of the statement shall be reported. In addition, changes to the data on all investment vehicles reported by the date of compilation of the statement shall be reported. The statement shall contain data concerning the identification and classification of the instrument, its basic parameters and characteristics.
5. REF (ČNB) 30-97 "Information about persons"
The report shall include data on persons who are the procuring entity of the order, customers, counterparties to the transaction, third parties who have carried out professional business activities related to the order and trade, or tied agents and who are present in FIM (CNB) reports 20-97, FIM (CNB) 30-97, FIM (CNB) 11-97 or the statement according to the directly applicable European Union code governing transaction reporting. Data not reported to the Czech National Bank by the date of compilation of the statement and changes in data on all persons reported by that date shall be reported. The statement shall contain data relating to the identification and classification of the person.
6. FIM (ČNB) 12-97 "Information on transactions in investment vehicles for trading systems"
The report contains information on transactions in investment vehicles concluded on the trading venue and changes to them and whether the reporting agent also provides the Czech National Bank with the reports referred to in § 3 for other reporting agents.
7. FIM (ČNB) 40-97 "Information about orders in the trading system"
The report shall contain information on the terms and conditions of trading of all investment instruments admitted to trading on the market by the reporting agent.
8. FIM (ČNB) 60-97 "Information on prices and volume of trades"
The report shall contain data on end-of-business price and volume of transactions for each individual type of trading venue and market as a whole, identification and name of the investment instrument, data on periodic auctions, open derivatives positions and trading status according to the trading venue operator code list.
9. REF (CNB) 40-97 "Information about participants in a trading venue and settlement system with settlement finality"
The report shall contain data on persons who have become or have ceased to be a participant in a trading or settlement system or who have become aware of a change in the data provided for participants in a settlement or trading venue.
10.FIM (ČNB) 70-97 "Index Information"
The statement shall contain information on indices calculated by the trading venue operator, such as the name and identification of the index, the name and identification of the investment instrument, the amount of the investment instrument in the index, the price notation, the date of the last update of the composition, the date and time of the calculation and the index value.
11. FIM (ČNB) 50-97 "Information on settlement of transactions and transfers"
The report shall contain data on transactions and transfers received for settlement on the operational day to which the report relates, on the manner and status of settlement, on changes to all transactions received for settlement and on changes to the manner and status of settlement.
12. REF (ČNB) 20-97 "Information on settlement instruments"
The statement shall contain information on the investment instruments received for settlement on the operational day to which the statement relates. Data on investment vehicles not reported to the Czech National Bank by the date of compilation of the statement shall be reported. In addition, changes to the data of all investment vehicles reported by the date of compilation of the statement shall be reported.
13. MKT (ČNB) 51-12 "Overview of securities held by customers"
The statement shall contain data on individual securities that are the property of the customer, all securities by individual customer, resident and non-resident. Identification and classification data relating to a security, issuer and customer, security data and maturity data shall be reported.
14. MKT (ČNB) 52-12 "Overview of other investment vehicles held by customers"
The statement shall contain data on individual investment vehicles other than securities registered on the reporting entity's trading venue as client assets on the last day of the reporting period by customer, resident and non-resident. Identification and classification data relating to the investment instrument, issuer, customer and investment instrument data shall be reported.
15. MKT (ČNB) 53-12 "Overview of funds held by customers"
The statement shall contain an overview of the funds recorded with the reporting entity as customer assets broken down by customer, resident and non-resident. It also contains additional information on loans provided in terms of providing an additional investment service to enable trade in the investment instrument in which the loan provider is involved. Identification and classification data relating to the customer and data on funds and credit shall be reported.
16. MKT (ČNB) 54-12 "Overview of changes in the number of investment vehicles held by customers"
The statement shall contain details of any changes in the amount of investment vehicles held by the client that are not recorded in the transaction reporting statements. The report shall contain records of each change during the reference period. The reported changes must not be offset against each other at any level (e.g. transactions, customer persons, time, currency), each change being reported separately. In the case where there is a reduction in one instrument and an increase in the other in the operation, each change shall be reported separately. Investment vehicles shall be reported within the scope given for this statement.
17. MKT (ČNB) 55-12 "Overview of changes in funds in customers' assets"
The statement shall contain details of any changes in the amount of funds held in the customer's assets that are not recorded in the transaction report reports during the reference period. Changes in funds must not be offset against each other at any level (volume, customer, time, currency), each change being reported separately.
18. OCP (ČNB) 48-04 "Organizational structure and persons with qualified participation"
The statement shall contain basic identification and classification data on the reporting person, the founder of the branch of the foreign securities dealer, branches abroad, members of management bodies, contact persons for defined areas of activity. The report shall also contain information on capital, voting rights, the number of its staff and organisational components. The statement shall also contain basic identification and classification data for members with a share of the capital or voting rights of more than 5%, including structured data on the size of the share, basic identification and classification data for all persons with a qualifying holding in the reporting entity, including structured data on the size of the share and qualifying holdings of the reporting entity in other legal entities.
19. OCP (ČNB) 80-01 "Group Report"
The report shall include an embedded file with basic information on the structure of the group in graphical form, a graphical representation of the group in terms of ownership and management, indicating the persons included in the group drawn up for prudential requirements, including an indication of their capital and identification number. The input file shall have a data format commonly used in electronic contact that does not allow the content to change.
20. FIN (IND) 01-12 "Financial information (FINREP) on an individual basis"
The statement shall contain information on the financial position of the reporting agent, on the assets, liabilities and equity, in the base breakdown derived from international accounting standards, and on the commitments and guarantees provided and accepted. In addition, the statement shall contain an overview of the revenues and costs and of the accounting profit or loss from the beginning of the calendar year to the end of the reference period on the base breakdown derived from international accounting standards.
21. Information on trading parameters shall include information on price, quantity, time and other requirements for the conclusion of transactions and the placing of orders or quotations established by the regulated market organiser or by an operator of a multilateral or organised trading venue on the basis of trading rules such as the standard size of the lot, the price band or the steps in the change of quotation by individual investment instruments or trading groups.
22. COM (CNB) 20-97 "Reporting of positions in commodity derivatives, emission allowances and their derivatives"
The statement shall include a breakdown of positions in commodity derivatives, emission allowances and their derivatives held by all persons on the trading venue, including participants and their customers.
23. FIN (CON) 01-04 "Financial information (FINREP) on a consolidated basis"
The statement shall include information on the financial position of the reporting entity on a consolidated basis, on assets, liabilities and equity, on the basic breakdown derived from international accounting standards, and on commitments and guarantees provided and accepted. In addition, the statement shall contain an overview of the revenues and costs and of the accounting profit or loss from the beginning of the calendar year to the end of the reference period on the base breakdown derived from international accounting standards.
24. REMHE (IND) 01-01 "Information on the remuneration of high-income workers"

Regulation Information
