amending Act No. 137 / 2006 Coll., on Public Procurement, as amended, and certain other laws
Parliament has decided on this law of the Czech Republic:

ČÁST PRVNÍ

Amendment to the Public Procurement Act
Čl. I
Act No. 137 / 2006 Coll., on Public Procurement, as amended by Act No. 110 / 2007 Coll., Act No. 296 / 2007 Coll., Act No. 76 / 2008 Coll., Act No. 124 / 2008 Coll., Act No. 41 / 2009 Coll., Act No. 110 / 2009 Coll., Act No. 227 / 2009 Coll. and Act No. 281 / 2009 Coll., is amended as follows:
1. in Paragraph 18 (1) (d):
"(d) their object is research and development19), except where the price for carrying out research and development is exclusively paid by the contracting authority and the contracting authority is the sole user of the results of research and development;"
2. In Article 42 (1), "§ 146 (2) 'is replaced by" § 146 (3)';
3. In Article 43 (5), the words "paragraph 1 'shall be inserted after the words" Paragraph 118'.
4. In Paragraph 52, the following paragraph 4 is added:
"(4) The provisions of paragraphs 1 to 3 are without prejudice to Articles 57 (1) and 59 (4)."
5. in Paragraph 53 (1) (h), the word "a" shall be deleted at the end.
6. In Article 53 (1), the dot at the end of point (i) is replaced by "a 'and the following point (j) is added:
"(j) which is not kept in the register of persons with a prohibition on the performance of public contracts."
7. in Article 53 (2) (d), "and (i)" shall be replaced by "(i) and (j)";
8. In the first sentence of Paragraph 59 (4), the words "except where compliance with the relevant part of the qualification has not been demonstrated by the supplier 'shall be deleted.
9. In the second sentence of Paragraph 68 (2), the words "and a declaration signed by a person authorised to act on behalf of or as a tenderer, indicating that the tenderer is bound by the full content of the tender throughout the period of the award period 'shall be deleted.
10. in Article 71 (8) (b), the words "the draft contract and the applicant's declaration under Article 68 (2) are signed" shall be replaced by the words "the draft contract is signed."
11. in Article 71 (9), the words "the Commission may also inform the tenderers concerned of the offer price" shall be inserted after the words "and whether the tender complies with the requirements of paragraph 8."
12. in Articles 72 (3) and 73 (1), the words "paragraph 8" are replaced by the words "paragraph 9."
13. in Paragraph 81 (2):
"(2) The contracting authority shall send the notification of the selection of the most appropriate tender within 5 working days of the decision referred to in paragraph 1 to all interested parties concerned and to all tenderers concerned. The tenderers concerned are those who have not been definitively excluded. Exclusion shall be final if the tenderer has been notified and the tenderer has not objected within the time limit laid down in Paragraph 110 (4), or has not lodged an application within the time limit laid down in paragraphs 114 (4) and (5), or the procedure for his application has been terminated. The candidates concerned shall mean candidates to whom the contracting authority has not delivered a notice of exclusion prior to the dispatch of the decision to award the most appropriate tender. ';
14. In Paragraph 81, at the end of paragraph 3, the dot is replaced by a comma and the following point (e) is added:
"(e) information on the time limit for the submission of objections pursuant to Article 110 (4) and the prohibition on the conclusion of a contract pursuant to Article 82 (1)."
15. Paragraph 83 (2) reads:
"(2) Where, in the case of a dynamic purchasing system, the contracting authority does not send a contract award notice for publication in accordance with the procedure referred to in paragraph 1, it shall be obliged to send it cumulatively for the preceding quarter; the summary of the notification shall be sent by the contracting authority within 30 days of the end of the relevant calendar quarter. ';
16. In Article 83, at the end of paragraph 3, the sentence "In such a case, the contracting authority shall send information on all contracts concluded under the framework contract to the information system operator collectively for the preceding calendar quarter within 30 days of its end; the mandatory content of the notification shall be laid down in the implementing act. ';
17. In Paragraph 84, the following paragraph 9 is added:
"(9) Where the procurement procedure is cancelled by the Office, paragraphs 7 and 8 shall apply mutatis mutandis. The time limits shall run from the date on which the decision of the Office becomes final. ';
18.
„§ 110
Scope and manner of submission of objections
(1) In the award of above and below-limit public contracts or in a design contest, any supplier who has or has an interest in obtaining a particular public contract and who, as a result of a alleged infringement of the law, is in danger of or has suffered damage to his rights (the complainant) may submit reasoned objections to the contracting authority.
(2) Objections may be made against all acts of the contracting authority and must be delivered by the complainant to the contracting authority within 15 days of the date on which the alleged infringement of the law becomes known by the act of the contracting authority and at the latest by the time the contract is concluded.
(3) The complainant must deliver objections to the terms of the contract to the contracting authority no later than 5 days after the closing date for the submission of tenders.
(4) The complainant shall notify the contracting authority within 15 days of the date of receipt of the notification of the selection of the most appropriate tender pursuant to Paragraph 81 or the decision to exclude from participation in the procurement procedure.
(5) Where a contracting authority publishes a voluntary notice of intent to conclude a contract pursuant to Paragraph 146 (2), objections may be raised against the intention to conclude a contract without publication of a contract notice within 15 days of the publication of the notice of intent to conclude a contract.
(6) Before the expiry of the period for the submission of objections referred to in paragraphs 3 to 5 and until the date of service of the decision of the contracting authority on objections, the contracting authority may not conclude a contract.
(7) The objections are made in writing. In objections, the complainant must state who is submitting them, against which act the contracting authority is directed and in which infringement is seen. The objections referred to in paragraphs 2, 3 and 5 shall specify the damage to the complainant as a result of the alleged infringement of the law and what the complainant seeks. If the objection referred to in paragraph 2 is contested, the complainant shall also state in the objections the facts relevant for determining the moment when he became aware of the alleged infringement by the act of the contracting authority. Any objection not containing the particulars referred to in this paragraph shall be rejected by the contracting authority and shall forthwith inform the complainant in writing. The submission of objections in due time and in due time shall be a condition for the submission of a proposal to review the procedure of the contracting authority in the same case. An application to impose a prohibition on the performance of a contract pursuant to Article 114 (2) may be made by the complainant without prior submission of objections.
(8) The applicant or tenderer may renounce the right to object to the decision on the selection of the most appropriate tender or to the decision of the contracting authority to exclude it from participation in the procurement procedure in writing; the right to submit objections may be waived by the candidate or tenderer only after the right to object has been acquired. Where a candidate or tenderer has waived the right to lodge objections, the time limit for submitting objections in relation to that candidate or tenderer shall be extended. ';
19. in § 111 (2), "§ 113 (2)" is replaced by "§ 114 (4)";
20. In the first sentence of Paragraph 111 (5), the words "or cancel the procurement procedure 'are deleted.
21. In Paragraph 112 (1), the words "reviewing the legality of the acts of the contracting authority in order to ensure that the principles laid down in Article 6 are maintained" shall be deleted.
22. In Article 112 (2), the words "in the exercise of supervision over compliance with this law 'shall be inserted after the words" the Office'.
23. in Paragraph 112 (2) (b), the words "and design contests" shall be inserted after the word "contracts."
24. Paragraph 113, including the title, reads:
„§ 113
Initiation
The procedure for reviewing the acts of the contracting authority shall be initiated on a written proposal from the complainant (hereinafter referred to as the applicant) or on an ex officio basis. ';
25. in Article 114 (2) to (6):
"(2) Following the conclusion of a contract, an application may be made only against the conclusion of a contract without prior publication of a procurement procedure or against a breach of the prohibition on the conclusion of a contract provided for by that law. The appellant may only seek to impose a prohibition on the performance of the contract.
(3) The proposal, in addition to the general procedural requirements (64), must contain an indication of the contracting authority in which the infringement of the law in respect of which the appellant is threatened or caused harm to his rights, proposals for evidence and what the appellant seeks. The application shall include the proof of deposit in accordance with Article 115 and, in the case of a proposal sent to the Office before the conclusion of the contract, the proof of receipt of the opposition by the contracting authority and the proof of re-lodging of the security in accordance with Article 67 (4).
(4) The application shall be served on the Office and in a copy to the contracting authority within 10 calendar days of the date on which the complainant received a decision by which the contracting authority did not comply with the objections. An application to impose a prohibition on the performance of a contract pursuant to paragraph 2 shall be notified only to the Office within 30 calendar days of the date on which the contracting authority has published the contract notice in accordance with Paragraph 147, stating the reason for the award of the contract without the publication of the contract notice, but not later than 6 months after the conclusion of the contract.
(5) If the contracting authority has not settled the objections pursuant to Paragraph 111 (1), the application for the imposition of corrective measures may be notified to the Authority and the contracting authority no later than 25 calendar days after the date of dispatch of the objections by the complainant.
(6) The contracting authority shall send the Office its observations on the application received within 7 days of its receipt. It shall, together with this statement, send the relevant documents of the contract or design contest. In the case of a proposal to prohibit the performance of a contract, the contracting authority shall at the same time send a copy of the contract to the Office and indicate any reasons for continuing the performance of the contract within the meaning of Article 118 (3). ';
26. In the second sentence of Paragraph 115 (1), the words "or that the tender price to be evaluated is only set at the price per unit of performance or, in the case of a proposal to impose a prohibition on performance of the contract," shall be inserted after the word "applicant."
27. in Paragraph 115 (2):
"(2) Bail shall be the income of the State budget if the Office rejects the application pursuant to Paragraph 118 (4) (a) by a final decision, otherwise the Office shall, together with interest, return the bail to the appellant within 30 days of the date on which the decision becomes final. Bail shall also be refunded where the Office, together with the rejection of the application pursuant to Article 118 (4) (a), decides that the contracting authority has committed an administrative offence pursuant to Article 120 (1). ';
28. In Section 116, the words "or decision to select the most appropriate proposal 'are inserted after the words" the most appropriate tender' and the words "or the successful tenderer for the proposal 'are added at the end of the text of Section 116.
29. In Paragraph 117 (1), the words "in the administrative procedure initiated 'are replaced by" 113'.
30. in Paragraph 117 (1) (b), the words "or competition for a proposal" shall be inserted after the word "proceedings."
31. the following Section 117a is inserted after Section 117, including the title:
„§ 117a
Withdrawal of proceedings
The Office shall terminate the proceedings initiated if:
(a) the application does not have the requirements laid down in Paragraph 114 (3) and the applicant fails to complete it within the time limit set by the Office;
(b) no deposit has been lodged with the application in accordance with Paragraph 115 (1) and the applicant shall not deposit the deposit within an additional period set by the Office,
(c) the application has not been received by the Office and the contracting authority within the time limits laid down in Article 114 (4); or
(d) no grounds have been established in an ex officio procedure for the imposition of corrective action pursuant to Article 118 or for the imposition of a sanction pursuant to Article 120 or Article 120a. "
32. Paragraph 118, including the title, reads:
„§ 118
Corrective measures and nullity of contracts
(1) If the contracting authority fails to comply with the procedure laid down for the award of a contract or for a design contest, the procedure has substantially affected or may have affected the selection of the most appropriate tender or proposal, and the contract has not yet been concluded, the Authority shall cancel the award procedure or the tender or only the individual act of the contracting authority.
(2) By its decision on the basis of a proposal pursuant to Article 114 (2), the Office shall impose a prohibition on the performance of a contract concluded on a contract where the contracting authority:
(a) commit an administrative offence pursuant to Article 120 (1) (c), except where the contracting authority has published a voluntary notice of intent to conclude a contract pursuant to Article 146 (2) and has acted in accordance with Articles 82 (1), 110 (6) and 111 (5);
(b) commit an administrative offence pursuant to Article 120 (1) (a) and an administrative offence pursuant to Article 120 (1) (d); or
(c) commit an administrative offence in accordance with § 120 (1) (a) and proceed simultaneously with § 83 (2).
(3) The Office shall not impose a prohibition on the performance of a contract as provided for in paragraph 2 if it finds that grounds of particular concern relating to the public interest require the continued performance of the contract. An economic interest in the performance of a contract may be considered as such only in exceptional circumstances where the termination of the contract would lead to disproportionate consequences. The economic interests directly linked to the contract concerned, in particular the costs resulting from the delay in performance of the contract, the costs associated with the launch of the new procurement procedure, the costs associated with the change of the entity performing the contract and the costs arising from the legal obligations resulting from the prohibition on performance of the contract, do not constitute grounds of particular concern requiring the continuation of the contract.
(4) The Office shall reject the application if:
(a) the reasons for the imposition of the corrective action referred to in paragraph 1 or 2 have not been identified;
(b) the reasons for imposing a prohibition on the performance of a contract referred to in paragraph 2 have been established, but the contracting authority shall prove that the reasons for the special consideration required to continue the performance of the contract referred to in paragraph 3 are fulfilled,
(c) the application has not been lodged by the authorised person; or
(d) the proposal is not directed against a procedure which the contracting authority is obliged to follow under this law in a procurement procedure or in a design contest.
(5) A contract for the performance of a public contract is invalid because of failure to comply with the procedure laid down in this law only where the Office imposes a prohibition on its performance under paragraph 2. This shall not affect the validity for other reasons. '.
33. In the first sentence of Article 119 (2), the words "paragraph 1 'shall be inserted after the words" pursuant to Article 118'.
34. § 120, including the title reads:
„§ 120
Administrative offences of contracting entities
(1) The contracting authority shall commit an administrative offence by:
(a) fail to comply with the procedure laid down by this law for the award of a contract, thereby substantially affecting or likely to affect the selection of the most appropriate tender, and to conclude a contract;
(b) fails to comply with the obligation of publication laid down by this law or to comply with it in breach of § 146 or 147;
(c) conclude a contract without the publication of a contract notice pursuant to Article 146 (1), although it is obliged under that law to publish such notice,
(d) conclude a public contract in breach of § 82 (1), § 110 (6) or § 111 (5) or in breach of a preliminary measure under § 117 (1);
(e) cancel the procurement procedure in breach of § 84;
(f) does not obtain or maintain documentation in accordance with § 109 or 155; or
(g) reject the objections in breach of Paragraph 110 or proceed in breach of Paragraph 111.
(2) A fine shall be imposed for the administrative offence:
(a) 5% of the price of the contract, or up to 10 000 000 CZK, if the total price of the contract cannot be ascertained if it is an administrative offence referred to in paragraph 1 (a), (c) or (d),
(b) 10 000 000 CZK if it is an administrative offence referred to in paragraph 1 (b), (e), (f) or (g).
(3) The rate of the fine referred to in paragraph 2 shall be increased to double if the contracting authority has repeatedly committed one of the administrative offences referred to in paragraph 1. An administrative offence shall be committed repeatedly if, before the expiry of five years from the date on which the decision to impose a fine on an administrative offence became final, the same administrative offence has been committed again. '
35. The following Section 120a is inserted after Section 120:
„§ 120a
Administrative offences of suppliers
(1) The supplier commits an administrative offence by:
(a) provide, for the purpose of demonstrating compliance with the qualification, information or documents which do not correspond to the facts and which have or may have had an impact on the assessment of the supplier's qualification in the procurement procedure, in the procedure for the application for registration in the list referred to in § 129 or for the application for amendment of that registration in accordance with § 130 (2) or for the purpose of fulfilling the conditions for issuing a certificate in accordance with § 138; or
(b) shall not submit an application for amendment of the registration pursuant to Paragraph 130 (2).
(2) A fine of up to CZK 10 000 000 shall be imposed for the administrative offence referred to in paragraph 1 (a) and a ban on the performance of public contracts for a period of 3 years and on the administrative offence referred to in paragraph 1 (b).
(3) The prohibition on the performance of public contracts means the prohibition on participation in procurement procedures and the prohibition on the conclusion of contracts for the performance of small-scale public contracts. The period of three years for which the prohibition on the performance of public contracts is imposed shall begin on the date on which the decision referred to in paragraph 2 imposing the prohibition on the performance of public contracts becomes final. ';
36. Paragraph 121, including the title, reads:
„§ 121
Common provisions on administrative offences
(1) The legal person shall not be liable for an administrative offence if he proves that he has made every effort to prevent an infringement.
(2) In determining the amount of the fine to a legal person, account shall be taken of the seriousness of the administrative offence, in particular the manner in which it was committed and the consequences thereof and the circumstances in which it was committed. Where a prohibition on the performance of a contract has been imposed pursuant to Paragraph 118 (2), account shall also be taken of the extent to which it has already been implemented under the contract.
(3) The liability of a legal person for an administrative offence shall cease if the Office has not initiated proceedings against him within 5 years of the date on which he became aware of him, but not later than 10 years from the date on which he was committed.
(4) Administrative offences under this law shall be dealt with at first instance by the Office.
(5) Responsibility for the conduct of or direct to the business of a natural person (65) is subject to the provisions of this Act on liability and sanctions of a legal person. "
37. The heading of Part Six reads as follows: "LIST OF QUALIFIED SUPPLIERS, CERTIFIED SUPPLIERS 'SYSTEM, FOREIGN LIST OF SUPPLIERS, REGISTERED PERSONS WITH A PROHIBITION OF PUBLIC CONTRACTS."
38. In Part Six, Title IV, including the title:

“HLAVA IV

§ 144
Keeping a register of persons with a public procurement ban
(1) The register of persons with a prohibition on the performance of public contracts (hereinafter referred to as "the register") includes legal or commercial natural persons who, pursuant to Article 120a (2), have been prohibited from performing public contracts. The register is run by the Ministry.
(2) The Office shall inform the Ministry without delay of the acquisition of legal power of a decision imposing a prohibition on the performance of public contracts pursuant to Article 120a (2), communicate the identification data of the legal or commercial natural person to be entered in the register pursuant to this Decision and indicate the date from which the execution of the prohibition on performance of public contracts begins and the date on which it ends. The Ministry shall register this information no later than 5 working days after the communication to the Office.
(3) The Office shall inform the Ministry of any repeal of the decision imposing a prohibition on the performance of public contracts pursuant to Article 120a (2). The Ministry shall delete the data referred to in paragraph 2 from the Register no later than 5 working days after the date of communication to the Office.
(4) The register is publicly available, also in a way that allows remote access. "
39. In Paragraph 146, the following paragraph 2 is inserted after paragraph 1:
"(2) The contracting authority may, in cases where it was not obliged to publish a contract notice, publish a contract notice. ';
Paragraphs 2 to 5 shall be renumbered paragraphs 3 to 6.
40. In Paragraph 146 (6), "4 'is replaced by" 5'.
41.Paragraph 159 (4) reads:
"(4) The Ministry shall issue a decree implementing Sections 83 (3), 119 (2) and 146 (3) and (6)."

Čl. II
Transitional provisions
1. The award of public contracts, design contests and the procedure for reviewing the acts of the contracting authority initiated by the Office before the date of entry into force of this Act shall be completed in accordance with existing legislation.
2. The procedure for reviewing the acts of the contracting authority which began after the date of entry into force of this Act and which follow up on the award of public contracts or design contests referred to in point 1 shall be followed in accordance with existing legislation.

Amendment to the Law on concession contracts and concession procedures
Čl. III
Act No. 139 / 2006 Coll., on concession contracts and concession procedures (concession law), as amended by Act No. 30 / 2008 Coll., Act No. 110 / 2009 Coll., Act No. 227 / 2009 Coll. and Act No. 281 / 2009 Coll., is amended as follows:
1. The following Section 3a is inserted after Section 3, including the title:
„§ 3a
Principles of the contracting authority's procedure
The contracting authority shall comply with the principles of transparency, equal treatment and non-discrimination in the procedure laid down in this law. ';
2. In Article 5 (2), the words "but the contracting authority shall comply with the principles set out in Article 3a 'shall be added after the words" values'.
3. Article 12 reads:
„§ 12
(1) On the basis of the results of the concession procedure, the contracting authority shall select the supplier whose tender has been assessed as the most economically advantageous for the conclusion of the concession contract.
(2) The provisions on the notification of the selection of the concessionaire shall apply mutatis mutandis to the notification of the selection of the most appropriate tender of the Public Procurement Act.
(3) The relevant provisions of the Public Procurement Act shall apply mutatis mutandis to the submission of objections, the manner in which they are dealt with and the prohibition on the conclusion of a concession contract.
(4) The provisions of the Public Procurement Act for the conclusion of a concession contract shall apply mutatis mutandis. '
