DECLARATION
Minister for Foreign Trade
of 28 December 1965
on certain amendments to Decree No 297 / 1953 of the Foreign Trade Minister Ú. l., on the conversion of Centrotex, a Czechoslovak public limited company for the import and export of textile and leather goods, to a foreign trade company
The Foreign Trade Minister provides in an agreement with the Minister of Finance pursuant to § 2, 18 and 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Sailing:
Decree of the Foreign Trade Minister No 297 / 1953 Ú. l., on the conversion of Centrotex, a Czechoslovak public limited company for the import and export of textile and leather goods, to a foreign trade undertaking, is amended as follows:
1. In Paragraph 1, the name of the undertaking is changed by:
CENTROTEX, Foreign Trade Company.
Article 2 (1) reads as follows:
"(1) The business of the holding shall consist of foreign trade, in particular export and import of textile products, in particular textile fabrics and woven fabrics of man-made materials, knitted and crocheted products, household textiles and carpets, heavy and light assembly, blankets and other textile products, as well as raw materials for the textile industry (cotton, wool, bast fibres, synthetic fibres, animal hair and other textile raw materials and yarns). ';

(1) The undertaking is a separate legal entity.
(2) The company is an economic organisation which manages itself and is responsible for its obligations with its assets.
(3) Neither the State nor any other organisation is liable for the undertaking's actions and commitments.
(4) The company is not liable for the obligations of the State or other organisations.
(5) An undertaking shall be registered as owner of immovable property. '
4. In Article 5, the words "the Director-General 'are replaced by the words" the Director-General'.

(1) The company is under the responsibility of the Ministry of Foreign Trade.
(2) The Minister of Foreign Trade issues further provisions on the mission and main tasks of the enterprise, its organisation, management, conduct of business and supervision of the Ministry of Foreign Trade. The financing, lending, payment, invoicing and cash operations of an undertaking shall be governed by specific rules. ';
6. The following Section 8a is inserted after Section 8:
The company may conclude contracts for associations with supplier and customer economic organisations to improve supply and customer relations and to improve the economic efficiency of foreign trade and production. ';
Goods reserved in the Foreign Trade Minister Order No 151 / 1965 Coll., on the establishment of EXICA, the Foreign Trade Company, from 1 July 1966 to Exico, are reserved until then to the Foreign Trade Company Centrotex.
This Decree shall take effect on 1 January 1966.
