Government Decree on the prohibition of capital disposals and on the prohibition of investment in relation to the Federal Republic of Yugoslavia

GOVERNMENT REGULATION
of 22 December 1999
concerning the prohibition of capital disposals and the prohibition of investment in relation to the Federal Republic of Yugoslavia
The Government hereby orders pursuant to Article 1 of Act No. 304 / 1999 Coll., on measures relating to the Federal Republic of Yugoslavia:
§ 1
This Regulation shall mean:
(a) by the institution of the Federal Republic of Yugoslavia, any State, Authority or Local Authorities of the Federal Republic of Yugoslavia and any bodies controlled or otherwise controlled by them and persons listed in Annex 1;
(b) the authority of the Republic of Serbia, any State, Authority or Local Authorities of the Republic of Serbia and any bodies controlled or otherwise controlled by them and persons listed in Annex 1;
(c) any organisation, business or other company, undertaking, body or other entity, regardless of its name and whether it has its own legal personality, including its branches or other organisational components;
(d) capital:
1. financial assets and economic benefits of any kind, in particular cash, securities, cheques, notes, payment orders and other payment instruments;
2. deposits with financial and other institutions, balances on accounts, debts and bonds;
3. Outstanding instruments and bonds, in particular shares and other instruments of participation, certificates, bonds, notes, mortgage certificates, uncovered bonds and proceeds contracts,
4. Interest, dividends and other income on assets or on gains in value of assets,
5. loans, compensatory guarantees, guarantees, good execution guarantees or other financial liabilities;
6. letters of credit, bill of lading, contracts for sale,
7. any document confirming the possession of a part of the funds or financial resources and any other export financing instrument;
(e) the prohibition on the disposal of capital by any operation to prevent the movement, transfer, change, use and handling of capital, which would result in a change in its volume, amount, location, ownership, possession, nature or any other change that could enable it to be used, in particular in the management of securities stocks;
(f) control of the company:
1. have an absolute participation in the company;
2. have the right to appoint or withdraw a majority of the members of the administrative, management or supervisory bodies of the company;
3. appoint, on the sole basis of the exercise of its right to vote, the majority of members of the administrative, management or supervisory bodies of the company who were in office during the current and previous periods;
4. to check, by agreement with other shareholders or members of the company, the majority of the voting rights of shareholders or members within the company;
5. have the right to exercise or have the power to exercise a dominant influence on the company;
6. have the right to use wholly or partly the company's assets;
7. manage the company on a uniform basis by publishing consolidated accounts; or
8. jointly and severally share or bear a guarantee on the company's financial liabilities;
(g) any company listed in Annex 2 and any other commercial or other company or undertaking, regardless of its name and whether it has its own legal personality, including its branches or other organisational components.
§ 2
(1) Dispositions with capital (assets) held outside the territory of the Federal Republic of Yugoslavia and belonging to the Federal Republic of Yugoslavia or the Republic of Serbia or their bodies shall be prohibited.
(2) The provision of capital to the Federal Republic of Yugoslavia, the Republic of Serbia and their institutions, or to enable them to use it in any way, shall be prohibited.
(3) It shall be prohibited in any way to acquire or increase participation in a company which has its registered office in the Republic of Serbia or in a company controlled by the Federal Republic of Yugoslavia or the Republic of Serbia or their organs.
(4) It shall be prohibited to participate in any activity which aims to circumvent the provisions of paragraphs 1 to 3.
§ 3
(1) Paragraph 2 does not apply to the capital employed
(a) to pay the current expenses of the representative offices of the Federal Republic of Yugoslavia in the Czech Republic,
(b) transfers of social benefits and other social payments;
(c) cash payments in Yugoslav dinars or Czech crowns in the territory of the Federal Republic of Yugoslavia.
§ 4
The Ministry of Finance may, with the approval of the Ministry of Foreign Affairs, authorise an exemption from the provisions of Section 2 as regards the supply of essential services, in particular services related to the carriage of persons or goods through the territory of the Federal Republic of Yugoslavia, the protection of employment and the provision of legal services in connection with the application of human rights and fundamental freedoms.
§ 5
This Regulation shall enter into force on the day of its publication.
