DECLARATION
Federal Ministry of Foreign Trade
of 12 November 1973
on the establishment of a Drevounion, a foreign trade enterprise
The Foreign Trade Minister provides in the agreement with the Minister of Finance of the CSSR pursuant to § 2 and 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Sailing, and under § 38 (1) (b) of Act No. 133 / 1970 Coll., on the jurisdiction of federal ministries:
A Foreign Trade Company ("the Company ') is hereby established.
(1) Bratislava is the head office of the holding.
(2) An undertaking may, with the approval of the Federal Ministry of Foreign Trade, set up branches and outside its registered office, as appropriate.
(1) The activity of the enterprise shall consist of foreign trade reserved for the forestry, timber and furniture industry, paper and cellulose industry and any activity directly linked to that trade.
(2) A detailed list of reserved products is established by the Federal Ministry of Foreign Trade by a special measure; to the same extent, it shall restrict the authorisation of the Ligna, the Foreign Trade Company, corresponding to the modification of the list of product types whose exports and imports are still reserved for it.
(1) The undertaking is a legal entity which manages itself and is responsible for its obligations with its assets.
(2) Neither the State nor any other organisation is liable for the conduct and commitments of the undertaking.
(3) The undertaking does not guarantee the obligations of the State or other organisations.
(4) An undertaking shall be registered as owner of immovable property.
(1) The undertaking is managed by the Director-General appointed and removed by the Minister for Foreign Trade; The Director-General shall be personally accountable to the Foreign Trade Minister.
(2) The Director-General shall act on behalf of the undertaking and shall be entitled to all measures and decisions in the management of the undertaking.
(3) The Minister for Foreign Trade may appoint one or more Deputy Directors-General; where it designates several Deputy Directors, it shall determine which of them shall represent the Director-General in full.
(4) The Minister for Foreign Trade may take measures for the provisional management of the undertaking.
The core capital of the company is CZK 20 000 000.
The company is under the jurisdiction of the Federal Ministry of Foreign Trade.
(1) The Ligna, an undertaking in foreign trade, remains bound and entitled by contracts concluded before the date of application of this Decree on the supply of products the export and import of which is reserved for the undertaking under the measure provided for in Article 3 (2).
(2) Drevounion, drevárskem and furnitures of the priorship, Directorate-General in Žilina, withthe date of the entry into force of this decree withdraws the authorisation for foreign trade; (1) it remains committed and entitled to the contracts it has concluded before the date of application of this decree, unless it agrees otherwise on individual cases with the agreement of the other Contracting Party.
This Decree shall take effect on 1 January 1974.
