DECLARATION
Minister for Foreign Trade
of 11 December 1967
on the establishment of a Pragoinvest, a foreign trade undertaking
The Foreign Trade Minister provides in an agreement with the Minister of Finance pursuant to § 2, 18 and 20 of Act No. 119 / 1948 Coll., on the State Organisation of Foreign Trade and International Sailing:
A foreign trade undertaking, the name of which is: Pragoinvest, a foreign trade undertaking ("the undertaking '), is hereby established.
(1) The object of the business is foreign trade, in particular the export and import of mechanical engineering products, such as motor locomotives, rolling stock (such as trams and trams, freight wagons for commercial transport), compressors (such as piston compressors, pumps and turbo-compressors), industrial and other cooling products, diesel engines, diesel-fuelled vehicles including distribution and distribution units and turbochargers, machinery and equipment for the processing of mineral materials (such as grinders, mills, sorting machines and separators, machinery and transformers, cranes (such as motor cranes, self-propelled machinery and similar mechanical appliances), transmission equipment (such as gearboxes, machinery and machinery for the manufacture of building materials, treatment of ores and other mineral products), silica and their applications, large torque electric machines and transformers, cranes,
(2) The authorisation of the undertaking shall also include the supply of equipment or parts of equipment, spare parts, components, projects, assembly and technical assistance, or construction parts of supplies, to sell licences in connection with the supply of equipment, components, assembly plants, etc., as far as this relates to the goods reserved to the undertaking.
(3) The individual types of goods the export or import of which is reserved for the undertaking is determined in detail by the Minister for Foreign Trade by a special measure.
(4) The undertaking is entitled to conduct all business related to its business.
The place of residence is Prague.
(1) The undertaking is a separate legal entity.
(2) The company is an economic organisation which manages itself and is responsible for its obligations with its assets.
(3) Neither the State nor any other organisation is liable for the undertaking's actions and commitments.
(4) The company is not liable for the obligations of the State or other organisations.
(5) An undertaking shall be registered as owner of immovable property.
(1) The undertaking is managed by the Director-General appointed by the Foreign Trade Minister in agreement with the relevant sectoral minister.
(2) The Director-General represents the undertaking externally and is entitled to all measures and decisions in the management of the undertaking.
(3) On a proposal from the Director-General, the Minister for Foreign Trade shall, in agreement with the relevant Sectoral Minister, delegate to the Director-General one or several Deputy Directors-General his full responsibility.
The core capital of the company is CZK 20 000 000.
The activity of an undertaking under this Order shall be subject to the relevant rules applicable to foreign trade.
(1) On 1 January 1968 the rights and obligations of Strojexport, the foreign trade undertaking, which arose before 1 January 1968 from transactions in goods reserved for that undertaking until 31 December 1967 and which will be reserved from 1 January 1968 to the established undertaking.
(2) Other rights and obligations of Strojexport, a foreign trade undertaking, arising before 1 January 1968 in respect of an object of business reserved to an undertaking from 1 January 1968, are transferred to an undertaking on that date, unless the two undertakings agree otherwise on a case-by-case basis.
(3) Rights conferred on third parties under other legislation shall not be affected by the transfer of rights and obligations under paragraphs 1 and 2.
This Decree shall take effect on 1 January 1968.
